Subject to approval of the Compensation and Human Resources Committee of the Board of Directors of the Company, Executive shall be granted 10,000 Growth Shares at “target” performance, pursuant to an award letter and standard terms and conditions substantially in the form attached hereto as Exhibit A.
The amount of payment to be received by the Participant with respect to such Growth Shares shall be based upon the provisions of Section 8.1 of the Plan, with the Ending Company Value determined by taking the average of the mean between the bid and the asked prices of the Company's common stock, or the closing price, as applicable, on the principal stock exchange on which such common stock is traded, over the trading days included within the Window Period.
The Canopy Growth Shares to be issued pursuant to the Arrangement shall be freely tradeable and not be subject to any “hold period” resale restrictions under National Instrument 45-102 – Resale of Securities of the Securities Authorities.
Payment to the Participant, in cash or in shares of the Company's Common Stock, as applicable, shall be made no later than thirty (30) days after the final determination of the value of the Participant's Growth Shares.
The Vested Growth Shares for which the Participant receives payment under this Paragraph shall be canceled and the Participant shall be entitled to no further payments under the Plan with respect to such canceled Growth Shares.
