Guarantor Change of Control definition

Guarantor Change of Control means the Initial Investors and/or any Initial Investor Affiliates together or separately cease to control, directly or indirectly, the Guarantor. For the purposes of this definition, “control” of the Guarantor means:

Examples of Guarantor Change of Control in a sentence

  • Each new Certificate to be issued pursuant to Condition 2(b) (Transfer of Registered Notes) or Condition 2(c) (Exercise of Options or Partial Redemption in Respect of Registered Notes) shall be available for delivery within three business days of receipt of the form of transfer or Put Exercise Notice (as defined in Condition 6(e) (Guarantor Change of Control Put)) and surrender of the Certificate for exchange.

  • The Indenture imposes certain limitations on the Issuer, the Guarantor and their affiliates, including, without limitation, limitations on the incurrence of indebtedness and issuance of preferred stock, the payment of dividends and other payment restrictions affecting the Guarantor and its subsidiaries, the sale of assets, transactions with and among affiliates of the Guarantor, Change of Control and Liens.

  • Any Guarantor Change of Control occurs or the Guarantor ceases to own 100 per cent.

  • Immediately upon the occurrence of a Guarantor Change of Control, the Commitments shall terminate and the Borrower shall repay the Loans.

Guarantor Change of Control has the meaning given to it in Clause 5.8.
Guarantor Change of Control means any event or transaction, or series of related events or transactions, by which:

Guarantor Change of Control means any single event, transaction, or occurrence, or series of related events, transactions, or occurrences, has occurred as a result of which (a) any “Person” or “group” (as such terms are defined in Sections 3(a)(9), 13(d)(3) and 14(d) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”)), shall become, or obtain rights (whether by means of warrants, options or otherwise) to become, the “beneficial owner” (within the meaning of Rule 13d-3 promulgated under the Exchange Act), directly or indirectly, of a percentage of voting power of all classes of securities of Guarantor entitled to vote generally in the election of directors, representing thirty-five percent (35%) or more of such securities; or (b) during any period of twelve consecutive calendar months, individuals who at the beginning of such period constituted the board of directors of Guarantor (together with any new or replacement director whose election by the board of directors of Guarantor, or whose nomination for election, was approved by a vote of at least a majority of the directors then still in office who either were directors at the beginning of such period of whose election or nomination for election was previously so approved) cease for any reason to constitute a majority of the directors of Guarantor then in office.
Guarantor Change of Control means the Initial Investors and/or any Initial Investor Affiliates and/or any Acceptable Investor and/or any Acceptable Investor Affiliate together or separately cease to control directly or indirectly the Guarantor. For the purposes of this definition "control" of the Guarantor means: the power (whether by way of ownership of shares, proxy, contract, agency or otherwise) to:
Guarantor Change of Control means a sale of all or substantially all of the assets of Guarantor, a merger, consolidation or reorganization of Guarantor with and into any other entity other than any such merger, consolidation or reorganization in which owners of the Guarantor immediately prior to such merger, consolidation or reorganization continue to hold at least a majority of the voting power of the surviving entity immediately after such merger, consolidation or reorganization, or a transfer of more than fifty percent (50%) of the outstanding equity voting securities of Guarantor on a fully diluted basis in a single transaction or series or related transactions.
