Guaranty Release Date definition

Guaranty Release Date means the date that all of the following conditions have been satisfied: (a) no Default exists, (b) at least two of S&P Rating, Xxxxx’x Rating or Fitch Rating is greater than or equal to BBB-, Baa3 or BBB-, respectively, (c) there are no Guarantees by the Borrower or any Subsidiaries of the Revolving Loan Facility, the U.S. Cellular Term Loan Facility or of the U.S. Cellular Revolving Loan Facility (or any such Guarantee shall be released substantially concurrently with the Guaranty Release Date) and (d) there is no outstanding Pari Passu Guaranteed Indebtedness (or, if there is outstanding Pari Passu Guaranteed Indebtedness as of such date, all Guarantees of such Pari Passu Guaranteed Indebtedness shall be released substantially concurrently with the Guaranty Release Date).

Guaranty Release Date shall have the meaning set forth in Section 17.3.5.

Guaranty Release Date means the date on which the Guarantor is released and discharged from its obligations under this Agreement and the Guaranty as set forth in Section 9.08.

Examples of Guaranty Release Date in a sentence

• Upon the occurrence of the Subsidiary Guaranty Release Date, this Guaranty shall terminate and be of no further force and effect and, prior to the Subsidiary Guaranty Release Date, upon the sale of a Guarantor to the extent permitted in accordance with the terms of the Loan Documents, such Guarantor shall be automatically released from this Guaranty.

• The Lenders and the L/C Issuer irrevocably authorize the Administrative Agent to release any Guarantor from its obligations under the Guaranty if (a) the Guaranty Release Date occurs or (b) such Person ceases to be a Material Domestic Subsidiary as a result of a transaction permitted under the Loan Documents.

• For the avoidance of doubt, neither the Designated Agent nor any Guaranty Beneficiary shall be entitled to enforce the Guaranty after the Guaranty Release Date.

• The Completion Guaranty Release Date shall be deemed to occur on the date the Disbursement Agent countersigns the Company's Completion Guaranty Release Certificate.

• According to the Succession Act CAP 160, capacity is defined as: (i) being of sound mind; and (ii) being at least 18 years old (Kituo Cha Sheria, 2015).

More Definitions of Guaranty Release Date

Guaranty Release Date has the meaning specified in Section 4.04.

Guaranty Release Date means the date that all of the following conditions have been satisfied: (a) no Default exists, (b) at least two of S&P Rating, Mxxxx’x Rating or Fitch Rating is greater than or equal to BBB-, Baa3 or BBB-, respectively, (c) there are no Guarantees by the Parent Company, the Borrower or any of their respective Subsidiaries of the Revolving Loan Facility or of the Parent Credit Agreement (or any such Guarantee shall be released substantially concurrently with the Guaranty Release Date) and (d) there is no outstanding Pari Passu Guaranteed Indebtedness (or, if there is outstanding Pari Passu Guaranteed Indebtedness as of such date, all Guarantees of such Pari Passu Guaranteed Indebtedness shall be released substantially concurrently with the Guaranty Release Date).

Guaranty Release Date means the date the Guarantees of the Subsidiaries are released in accordance with the terms of Section 11.17.

Guaranty Release Date means the date that all of the following conditions have been satisfied: (a) no Default exists, (b) at least two of S&P Rating, Moody’s Rating or Fitch Rating is greater than or equal to BBB-, Baa3 or BBB-, respectively, (c) there are no Guarantees by the Borrower or any Subsidiaries of the Revolving Loan Facility, the U.S. Cellular Term Loan Facility or of the U.S. Cellular Revolving Loan Facility (or any such Guarantee shall be released substantially concurrently with the Guaranty Release Date) and (d) there is no outstanding Pari Passu Guaranteed Indebtedness (or, if there is outstanding Pari Passu Guaranteed Indebtedness as of such date, all Guarantees of such Pari Passu Guaranteed Indebtedness shall be released substantially concurrently with the Guaranty Release Date).

Guaranty Release Date means the date the Guarantees of the Subsidiaries are released in accordance with the terms of Section 11.19.

Guaranty Release Date with respect to the Guaranty of IP Holdco, the date that is one (1) Business Day prior to the consummation of an Initial Public Offering so long as, as of such date, no Default or Event of Default has occurred and is continuing.

Guaranty Release Date means the day on which the Company shall have delivered a certificate, signed by a Responsible Officer of the Company, to the Administrative Agent, certifying that each of the Guaranty Release Conditions has been satisfied.
