GUC Available Cash definition

GUC Available Cash means the Cash remaining in the Administrative and Priority Claims Reserve after payment of all Administrative Claims, Priority Claims and Professional Compensation Claims and/or establishing a Disputed Claim Reserve to satisfy such claims in accordance with Article IV.F.5 hereof, which shall be maintained by the Creditor Trust after the Effective Date.
GUC Available Cash means the Cash remaining upon termination of the Reorganized Debtor Administrative and Priority Claims Reserve pursuant to Article IV.F.5 hereof, which shall be held by the Reorganized Debtors in a segregated account controlled by the Disbursement Agent.
GUC Available Cash means the Cash remaining upon termination of the Reorganized Debtorin the Administrative and Priority Claims Reserve pursuant toafter payment of all Administrative Claims, Priority Claims and Professional Compensation Claims and/or establishing a Disputed Claim Reserve to satisfy such claims in accordance with Article IV.F.5 hereof, which shall be held by the Reorganized Debtors in a segregated account controlled by the Disbursement Agentmaintained by the Creditor Trust after the Effective Date.

Examples of GUC Available Cash in a sentence

  • Any amounts remaining in the Reorganized Debtor Administrative and Priority Claims Reserve after payment of all Allowed Administrative, Priority, and Professional Compensation Claims and U.S. Trustee Fees shall become the GUC Available Cash.

  • In the event any GUC Available Cash remains after all economically feasible Distributions are made, such remaining property shall be liquidated to Cash and distributed to a registered 501(c)(3) organization of the Disbursing Agent’s choice, assuming such distribution is economically feasible.

  • All funds or other property that vest or revest in the GUC Available Cash pursuant to this paragraph shall be (a) used to pay the fees and expenses of the Disbursing Agent as and to the extent set forth in the Plan, and (b) thereafter distributed to Holders of Allowed Claims as otherwise provided herein.

  • Neither unclaimed property nor any remaining portion of the GUC Available Cash shall escheat to any federal, state or local government or other entity.

  • The Debtors have analyzed the ability of the Reorganized Debtors to meet their obligations under the Plan and found that the financing to be provided pursuant to the Plan is adequate to satisfy all obligations thereunder, including but not limited to the requirement to administer the Administrative Claims and Priority Reserve and GUC Available Cash.

  • As soon as reasonably practicable after the Effective Date, the Reorganized Debtors will transfer the GUC Available Cash to a segregated bank account under the control of the Disbursing Agent for the benefit of the Holders of Allowed General Unsecured Claims.

  • Commencing on the Initial Distribution Date, one or more Distributions of GUC Available Cash in an amount not to exceed in the aggregate its Ratable Proportion of the GUC Available Cash.

  • Notwithstanding any other term of this Agreement or the Plan, in the event the Creditor Trust establishes Disputed Claims Reserves that the Creditor Trust estimates to be reasonably necessary to satisfy the Distributions that could be required to be made by the Creditor Trust on account of Allowed Administrative Claims, Priority Claims, and Professional Compensation Claims, then the remaining Cash held by the Creditor Trust shall be GUC Available Cash.

  • Such Ratable Proportion of interests in the GUC Available Cash shall be determined without reference to any payments of the OCC Premium pursuant to paragraph (ii) below.2.   • Net Available Cash from an Asset Disposition means cash payments received (including any cash payments received by way of deferred payment of principal pursuant to a note or installment receivable or otherwise and net proceeds from the sale or other disposition of any securities received as consideration, but only as and when received, but excluding any other consideration received in the form of assumption by the acquiring person of Indebtedness or other obligations relating to the properties or assets that are the subject of such Asset Disposition or received in any other non-cash form) therefrom, in each case net of:

  • Available Cash means, with respect to any Quarter ending prior to the Liquidation Date:

  • Available Cash Flow means an amount, with respect to each Fiscal Year or portion thereof during the Term, equal to the excess, if any, of the Operating Profit over the Owner’s Priority.

  • Distributable Cash Flow means the cash flow available for distribution to Shareholders as dividends as described under “Dividends”;

  • Distributable Cash means, as of any relevant date on which a determination is being made by the Manager regarding a potential distribution pursuant to Section 4.01(a), the amount of cash that could be distributed by the Company for such purposes in accordance with the Credit Agreements (and without otherwise violating any applicable provisions of any of the Credit Agreements).

  • Net Available Proceeds means, with respect to any Asset Sale, the proceeds thereof in the form of cash or Cash Equivalents, net of

  • Cash Available for Distribution means the Available Cash other than Net Sales Proceeds.

  • Cash Flow Available for Debt Service for any period, means (i) Cash Flow received during such period minus (ii) (A) all O&M Costs paid during such period and (B) if an Equity Cure has been made in any fiscal quarter during the period for which Cash Flow Available for Debt Service is calculated, the lesser of the aggregate amount of (x) such Equity Cure during such period and (y) the aggregate amount of cash distributions paid by the Company during such period.

  • Total Available Funds shall have the meaning set forth in Section 5.7(a).

  • Eligible Cash means unrestricted cash of a Borrower held in a Deposit Account maintained in the United States with a member of the Lender Group as security for the Obligations, and in which Agent has a first-priority perfected security interest and which is subject to a Control Agreement.

  • Class B Available Funds means, with respect to any Monthly Period, an amount equal to the sum of (a) the Class B Floating Percentage of the Reallocated Investor Finance Charge Collections and (b) if such Monthly Period relates to a Distribution Date with respect to the Controlled Accumulation Period, the Class B Floating Percentage of the Principal Funding Account Investment Proceeds, if any, with respect to such Distribution Date.

  • Free Cash Flow means, for any Person for any period, EBITDA plus cash interest income of such Person for such period, less income taxes, Capital Expenditures and Investments (to the extent made in compliance with this Agreement), Scheduled Debt Service (if any) and variations in working capital made in the ordinary course of business, with respect to such period.

  • Operating Revenue Cash Flows means the Company’s cash flow from ownership and/or operation of (i) Properties, (ii) Loans, (iii) Permitted Investments, (iv) short-term investments, and (v) interests in Properties, Loans and Permitted Investments owned by any Joint Venture or any partnership in which the Company or the Partnership is, directly or indirectly, a co-venturer or partner.

  • Adjusted Operating Surplus means, with respect to any period, (a) Operating Surplus generated with respect to such period less (b) (i) the amount of any net increase in Working Capital Borrowings (or the Partnership’s proportionate share of any net increase in Working Capital Borrowings in the case of Subsidiaries that are not wholly owned) with respect to such period and (ii) the amount of any net decrease in cash reserves (or the Partnership’s proportionate share of any net decrease in cash reserves in the case of Subsidiaries that are not wholly owned) for Operating Expenditures with respect to such period not relating to an Operating Expenditure made with respect to such period, and plus (c) (i) the amount of any net decrease in Working Capital Borrowings (or the Partnership’s proportionate share of any net decrease in Working Capital Borrowings in the case of Subsidiaries that are not wholly owned) with respect to such period, (ii) the amount of any net decrease made in subsequent periods in cash reserves for Operating Expenditures initially established with respect to such period to the extent such decrease results in a reduction in Adjusted Operating Surplus in subsequent periods pursuant to clause (b)(ii) above and (iii) the amount of any net increase in cash reserves (or the Partnership’s proportionate share of any net increase in cash reserves in the case of Subsidiaries that are not wholly owned) for Operating Expenditures with respect to such period required by any debt instrument for the repayment of principal, interest or premium. Adjusted Operating Surplus does not include that portion of Operating Surplus included in clause (a)(i) of the definition of “Operating Surplus.”

  • Working Capital Surplus means the amount by which the Working Capital is greater than the Target Working Capital Amount.

  • Capital Surplus has the meaning assigned to such term in Section 6.3(a).

  • Operating Surplus means, with respect to any period ending prior to the Liquidation Date, on a cumulative basis and without duplication,

  • Class A Available Funds means, with respect to any Monthly Period, an amount equal to the sum of (a) if such Monthly Period relates to a Distribution Date with respect to the Controlled Accumulation Period, the Class A Floating Percentage of Principal Funding Account Investment Proceeds, if any, with respect to such Distribution Date, (b) the Class A Floating Percentage of the Reallocated Investor Finance Charge Collections and (c) the amount of funds, if any, to be withdrawn from the Reserve Account which, pursuant to subsection 4.12(d), are required to be included in Class A Available Funds with respect to such Distribution Date.

  • Consolidated Cash Flow Available for Fixed Charges means, with respect to any Person for any period:

  • Net Loss Proceeds means, with respect to any Event of Loss, the proceeds in the form of (a) cash or Cash Equivalents and (b) insurance proceeds, condemnation awards or damages awarded by any judgment, in each case received by the Company from such Event of Loss net of:

  • Maximum Available Minutes is the sum of all Deployment Minutes across all Queues and Topics deployed by Customer in a given Azure subscription during a billing month.
