Healthcare Group definition

Healthcare Group. Healthcare and each corporation filing a consolidated federal Income Tax Return with Healthcare as the parent corporation. "INCOME TAX(ES)" -- with respect to any corporation or group of corporations, any and all Taxes to the extent based upon or measured by net income (regardless of whether denominated as an "income tax," a "franchise tax" or otherwise), imposed by any Taxing Authority, together with any related interest, penalties or other additions thereto.
Healthcare Group means Healthcare and each Person (other than any member of the Electronics Group or the Tyco Group) that is a direct or indirect Subsidiary of Healthcare immediately after the Effective Time, and each Person that becomes a Subsidiary of Healthcare after the Effective Time, which shall include those entities identified as such on Schedule 1.1(113).
Healthcare Group means that business segment of the Seller focusing primarily on the following services for healthcare institutions and not-for-profit companies: benefits, compensation, strategy and general consulting, placement services, and facilitating the purchase of various insurance products, including, but not limited to, traditional life insurance policies and disability and long-term care coverage.

More Definitions of Healthcare Group

Healthcare Group has the meaning set forth in the Separation and Distribution Agreement.
Healthcare Group means (i) HealthCare and (ii) each Person that will be a direct or indirect Subsidiary of HealthCare immediately prior to the Distribution, and (iii) each Person that becomes a Subsidiary of HealthCare after the Distribution (in each case other than any member of the GE Group).
Healthcare Group means (a) the healthcare business division of the Corporation, including all of the businesses, assets and liabilities of the Corporation and its Subsidiaries allocated to the Healthcare Group as of the Effective Date, (b) any business assets or liabilities acquired or incurred by the Corporation or any of its Subsidiaries after the Effective Date in the ordinary course of business and attributable to or allocated to the Healthcare Group, and (c) the rights and obligations of the Healthcare Group under any debt of the Corporation deemed to be owed to or by the Healthcare Group (as such rights and obligations are defined in accordance with policies established from time to time by the Board of Directors); provided, however, that the Corporation may re-allocate assets from or to the Healthcare Group in return for other assets or services in the ordinary course of business or in accordance with policies established by the Board of Directors from time to time.

  • Healthcare services means all inpatient services (i.e., acute-care diagnostic and therapeutic inpatient hospital services), outpatient services (i.e., acute-care diagnostic and therapeutic outpatient services, including but not limited to ambulatory surgery and radiology services), and professional services (i.e., medical services provided by physicians or other licensed medical professionals) to the extent offered by Defendant and within the scope of services covered on an in-network basis pursuant to a contract between Defendant and an Insurer. “Healthcare Services” does not mean management of patient care, such as through population health programs or employee or group wellness programs.
