Dealer agrees that neither it nor any of its affiliates will vote any shares acquired by Dealer or its affiliates in connection with the Transaction (including, without limitation, Shares acquired by Dealer or its affiliates to hedge any Hedge Position in respect of the Transaction).
Such additional rules and regulations could adversely affect Noteholders and affect the Guarantor and/or Hedge Counterparty's ability to perform their obligations under the Guarantee or the Hedge Position respectively.
In addition, a Note does not represent a claim against any Hedge Counterparty and, in the event of any loss, a Noteholder will not have recourse under a Note against the Hedge Counterparty nor have any interest whatsoever in the Hedge Position or the Hedge Proceeds.

In relation to Notes Linked to Saudi Shares, the Issuer may (but shall be under no obligation under the Notes to) enter into a Swap Agreement with the Authorised Person to establish a Hedge Position in respect of the Issuer's obligations under such Notes.
