Hedging Entity definition

Hedging Entity means (a) the Issuer or (b) any Affiliate or any entity (or entities) acting on behalf of the Issuer as specified in the applicable Issue Terms that is engaged in any underlying or hedging transactions related to the Equity in respect of the Issuer’s obligations under the Notes.
Hedging Entity means the Issuer or any affiliate(s) of the Issuer or any entity (or entities) acting on behalf of the Issuer engaged in any underlying or hedging transactions in respect of the Issuer’s obligations arising from the Products.
Hedging Entity means Goldman Sachs International and/or any of its affiliates or any other agents thereof, as shall be determined by Goldman Sachs International in its sole and absolute discretion.

Examples of Hedging Entity in a sentence

  • In the event of a substantial deterioration in the Hedging Entity's or its counterparty's financial condition, the relevant resolution authority could take resolution action with respect to the Hedging Entity or its counterparty, including by exercising the "bail-in" tool or other resolution measures.

  • It is possible that the Issuer and/or Hedging Entity or other affiliate could receive substantial returns with respect to such hedging activities while the value of the Securities may decline.

  • Such illiquidity may adversely affect the price and timing of any liquidation of a Fund investment entered into by the Hedging Entity for the purposes of hedging that is necessary to meet the requirements of any investment guidelines or tests that the Issuer may have requested.

  • By introducing competing products into the marketplace in this manner, the Hedging Entity (and the Issuer indirectly through the Hedging Entity) could adversely affect the market value of the Securities and the amount payable (or deliverable) on redemption of the Securities at maturity.

  • The Hedging Entity may adjust its hedge by, among other things, purchasing or selling any of the foregoing, and perhaps other instruments linked to the Underlying Asset(s) or (if applicable) the Underlying Components, at any time and from time to time, and may unwind the hedge by selling any of the foregoing on or before the final redemption date or settlement date (as applicable) for the Securities.

Hedging Entity means (a) if not specified in the applicable Final Terms, the Issuer, or (b) any Affiliates or any entity (or entities) acting on behalf of the Issuer as specified in the applicable Final Terms that is engaged in any underlying or hedging transactions related to the price risk relating to any Fund Interest in respect of the Issuer’s obligations under the Notes.
Hedging Entity means any entity (or entities) engaged in any underlying or hedging transactions relating to the FX Linked Notes and/or the Base Currency or Subject Currency in respect of the Issuer's obligations under the FX Linked Notes.
Hedging Entity means (a) the Issuer or (b) any Affiliate or any entity (or entities) acting on behalf of the Issuer as specified in the applicable Issue Terms that is engaged in any underlying or hedging transactions related to the Index, Equity, Fund Interest, Fund Share or interest rate to which the W&C Security is linked, as the case may be, in respect of the Issuer’s obligations under the W&C Securities.
