Hedging Entity definition

Hedging Entity means (a) the Issuer or (b) any Affiliate or any entity (or entities) acting on behalf of the Issuer as specified in the applicable Issue Terms that is engaged in any underlying or hedging transactions related to the Fund Shares in respect of the Issuer’s obligations under the Notes.
Hedging Entity means the Issuer or any affiliate(s) of the Issuer or any entity (or entities) acting on behalf of the Issuer engaged in any underlying or hedging transactions in respect of the Issuer’s obligations arising from the Products.
Hedging Entity means Goldman Sachs International and/or any of its affiliates or any other agents thereof, as shall be determined by Goldman Sachs International in its sole and absolute discretion.

Examples of Hedging Entity in a sentence

  • The Issuer, the Hedging Entity or any other affiliate may issue or underwrite, other securities or financial or derivative instruments with returns linked to changes in the level, price, rate or other applicable value of the Underlying Asset.

  • It is possible that the Guarantor and/or Hedging Entity or other affiliate could receive substantial returns with respect to such hedging activities while the value of the Notes may decline.

  • The Hedging Entity may adjust its hedge by, among other things, purchasing or selling any of the foregoing, and perhaps other instruments linked to the Underlying Asset(s), at any time and from time to time, and may unwind the hedge by selling any of the foregoing on or before the scheduled maturity date for the Notes.

  • Certain affiliates of the Guarantor (for the purposes of this section, the "Hedging Entity") may hedge the Issuer's obligations under the Notes by purchasing futures and/or other instruments linked to the Underlying Asset(s).

  • The relevant Hedging Entity may also enter into, adjust and unwind hedging transactions relating to other securities whose returns are linked to changes in the level, price, rate or other applicable value of the Underlying Asset(s).

Hedging Entity means (a) if not specified in the applicable Final Terms, the Issuer, or (b) any Affiliates or any entity (or entities) acting on behalf of the Issuer as specified in the applicable Final Terms that is engaged in any underlying or hedging transactions related to the Index in respect of the Issuer’s obligations under the Notes.
