Historical Pro Forma Financial Statements definition

Historical Pro Forma Financial Statements means the historical pro forma projected balance sheet of the Borrower and its Subsidiaries as of the Closing Date, giving pro forma effect to the Acquisition Transaction and the transactions to be consummated in connection therewith, and reflecting estimated purchase price accounting adjustments, in form and substance acceptable to the Agent and prepared in conformity with GAAP.
Historical Pro Forma Financial Statements means the unaudited historical pro forma balance sheet and a statement of income and cash flow prepared on a combined basis of the Borrower and its Subsidiaries (giving pro forma effect to the MET-Rx Nutrition, Inc. Acquisition for the Fiscal Year ended August 31, 1999.
