Hold Separate Employees definition

Hold Separate Employees means all full-time employees, part-time, employees, contract employees, independent contractors, and agents of Respondents whose duties, at any time during the ninety (90) days preceding the Acquisition Date or any time after the Acquisition Date related or relates primarily to the Hold Separate Business, a complete list of whom has been submitted to and approved by the Hold Separate Monitor, in consultation with the Commission staff, no later than three (3) days after the Acquisition Date; Hold Separate Employees do not include Support Services Employees.

Hold Separate Employees means all full-time employees, part-time employees, contract employees, and independent contractors, whose duties, at any time during the ninety (90) days preceding the date the Acquisition is completed or any time after the date the Acquisition is completed, related or relates to the Divestiture Assets, a complete list of whom has been submitted to and approved by the Hold Separate Monitor, in consultation with the Commission staff, no later than three (3) days after the date the Acquisition is completed.
Hold Separate Employees means those employees of Respondents who are employed primarily in connection with the Hold Separate Assets, and "Hold Separate Employee" means any one of them;

Related to Hold Separate Employees

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Key Employees means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxx.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Temporary Employees means those employees hired to replace regular employees absent due to illness, accident, vacation, leave of absence, etc., or hired to perform work on projects or assignments of limited duration. The employment of temporary employees hired to perform work on projects or assignments of limited duration shall be limited to a period of ninety (90) days of work in any twelve (12) month period, commencing from the date of hire or commencement of employment in such period. The period of employment for temporary employees hired for all other purposes shall be limited to twelve (12) months. A project or assignment of limited duration shall not exceed eighteen (18) weeks’ duration in any twelve (12) month period. Any projects or assignments of limited duration in excess of that provided for herein will be posted.

  • Protected Employees means employees of the Company who were employed by the Company at any time within six (6) months prior to the Determination Date.

  • Union Employees has the meaning set forth in Section 6.12(a).

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.
