Holding Lock definition

Holding Lock means a facility that, in accordance with the ASX Settlement Operating Rules, prevents securities being deducted from, or entered into, a holding pursuant to a transfer or conversion (that is a transfer of securities from a CHESS Holding or to any other holding or from any holding to a CHESS Holding or a movement from a holding on one subregister to a holding on another subregister without any change in legal ownership);
Holding Lock means, in relation to a Holding on either the CHESS Subregister or an Issuer Operated Subregister, a facility that prevents Financial Products from being deducted from, or entered into, a Holding pursuant to a Transfer or Conversion.
Holding Lock has the meaning given in section 2 of the ASX Settlement Rules;

Examples of Holding Lock in a sentence

  • Without limiting rule 6.3, and subject to the Listing Rules, the Company may procure that a Holding Lock be put on those Shares while the Shares are subject to the restriction on disposal under rule 6.2.

  • Without limiting rule 7.3, and subject to the Listing Rules, the Company may procure that a Holding Lock be put on those Shares while the Shares are subject to the restriction on disposal under rule 7.2.

  • The Company will apply a Holding Lock to the Voluntary Escrow Shares upon Completion and may only remove the Holding Lock with respect to the Voluntary Escrow Shares if permitted under clause 4.3 (Removal of Holding Lock).

  • The Company must refuse to register a paper based transfer, and must apply or cause to be applied a Holding Lock to prevent a transfer of any Options acquired by a Participant or its Affiliated Shareholder under the Plan.

  • Without limiting rule 7.5, when a Share is no longer subject to the restriction on disposal in rule 7.2, the Company must, as soon as reasonably practicable, procure that any Holding Lock on that Share is removed.

Second Escrow Period means the period for which the Voluntary Escrow Shares are escrowed as set out in item 4 of Schedule 2 (Details).
Holding Lock means holding lock as defined in the Listing Rules. “Incorporation Date” means the date upon which Certification occurred.
