Incompatible Conduct definition

Incompatible Conduct means any act or omission of CBA or its Affiliates that, in the sole determination of ABI, damages either the reputation or image of ABI or of the brewing industry. Attachment B attached hereto sets forth examples of the nature and gravity of acts and omissions constituting Incompatible Conduct and not constituting Incompatible Conduct; such examples shall not limit the nature of acts that could be construed as Incompatible Conduct.
Incompatible Conduct means any act or omission that, on a commercially reasonable basis, materially damages either the reputation or image of a Party or, with respect to Licensor, any IP Owner. Incompatible Conduct shall include, but not be limited to, the following: (1) statements by a Party defaming the other Party or, with respect to Licensor, any IP Owner, or such Party’s products; (2) criminal activities under Applicable Law perpetrated by a Party or any of its senior executives; provided, that (3) this section sets forth examples of the gravity of acts and omissions constituting Incompatible Conduct, but that such examples shall not limit the acts and omissions that could be Incompatible Conduct.
Incompatible Conduct means any act or omission that, in the sole, but reasonable, determination of Licensor, damages either the reputation or image of Licensor, any IP Owner, or of the cannabis industry. Incompatible Conduct shall include, but not be limited to, the following: advertising by Licensee directed at minors; statements by Licensee defaming Licensor or any IP Owner or its products; criminal activities under Applicable Law perpetrated by Licensee or any of its senior executives; provided, that Licensee agrees that this section sets forth examples of the nature and gravity of acts and omissions constituting Incompatible Conduct, but that such examples shall not limit the nature of acts that could be construed ​

Examples of Incompatible Conduct in a sentence
