IP Owner definition

IP Owner means CPLV Tenant, Caesars License Company, LLC or any other Person that owns any Intellectual Property or is a party to any IP License which is used in or held for use in the use, ownership, management, leasing, renovation, financing, development, operation and maintenance of the Property.

IP Owner means the entity that is set out in a SOW as owning the Foreground IP (whether the Project Lead, the Project Participant or an Other Project Participant); and

IP Owner means a party which is the owner of the particular technology or intellectual property as identified in Section 2 hereunder.

• To Borrower’s Knowledge, neither the CPLV Intellectual Property owned by IP Owner nor IP Owner’s use of any CPLV Intellectual Property is subject to any outstanding injunction, judgment, order, decree, ruling, or charge.

• To the extent a party (the “Acquiring IP Party”) acquires any rights in or to such Intellectual Property of the other party (the “IP Owner”), the Acquiring IP Party hereby assigns all such right, title and interest in and to such Intellectual Property back to IP Owner.

IP Owner means ESH Strategies Branding LLC, a Delaware limited liability company, together with its successors and permitted assigns.
