Incremental Transfer Tax Dispute Notice has the meaning set forth in Section 5.4(c)
Allocation Notice shall have the meaning assigned to such term in Section 11.14(i) hereof.
Closing Adjustment Amount shall have the meaning set forth in Section 3.2(c).
Post-Closing Adjustment Amount has the meaning set forth in Section 2.04(c).
Determination Notice is defined in Section 6.1(b)(i) of the Agreement.
Final Adjustment Amount shall have the meaning set forth in Section 2.5(e).
Xxxx Dispute Notice means the notice issued by a Party raising a Dispute regarding a Monthly Xxxx or a Supplementary Xxxx issued by the other Party;
Tax Benefit Schedule is defined in Section 2.02 of this Agreement.
Estimated Adjustment Amount has the meaning set forth in Section 2.8(a).
Final Adjustment Statement has the meaning set forth in Section 2.6(c).
Dispute Notice means a written notice served by one Party on the other stating that the Party serving the notice believes that there is a Dispute;
Step-Out Notice has the meaning given to it in Section 8.1.
Post-Closing Adjustment has the meaning set forth in Section 2.04(b)(ii).
Claim Determination Period means a calendar year. However, it does not include any part of a year during which a person has no coverage under This Plan, or any part of a year before the date this COB provision or a similar provision takes effect.
Closing Adjustment has the meaning set forth in Section 2.04(a)(ii).
Valuation Notice means the notice given by the Partnership pursuant to Section 8.5(b) or Section 8.6(a) and stating the Initial Value at which a Purchase Right is to be exercised or at which a Repurchase Obligation is to be effected.
Disputed Amount means an amount which Customer disputes. A Disputed Amount may relate to the whole or part of an invoice(s).
Initial determination means the first child custody determination concerning a particular child.
Currency Valuation Notice means a notice given by the Required Multicurrency Lenders to the Administrative Agent stating that such notice is a “Currency Valuation Notice” and requesting that the Administrative Agent determine the aggregate Revolving Multicurrency Credit Exposure. The Administrative Agent shall not be required to make more than one valuation determination pursuant to Currency Valuation Notices within any rolling three month period.
Contribution Notice means a contribution notice issued by the Pensions Regulator under section 38 or section 47 of the Pensions Xxx 0000.
Post-Closing Straddle Period means the portion of a Straddle Period beginning the day after the Closing Date.
Closing Payment Amount will have the meaning set forth in Section 1.3(a).
Net Adjustment Amount means an amount, which may be positive or negative, equal to the Closing Net Working Capital as finally determined pursuant to this Section 2.9 minus the Preliminary Net Working Capital as set forth on the Preliminary Closing Statement;
Term SOFR Adjustment means a percentage equal to 0.10% per annum.
Tax Adjustment has the meaning set forth in Section 4.7.
Incremental Term Loan has the meaning set forth in Section 2.14(b).
Supplemental Transfer Date For any Supplemental Transfer Agreement, the date the related Supplemental Mortgage Loans are transferred to the Trust Fund pursuant to the related Supplemental Transfer Agreement.
