The provisions of this Section 6.5 are intended to be for the benefit of, and enforceable by, each such Indemnified Officer and Director of Company immediately prior to the Effective Time and his or her heirs and representatives, and nothing herein shall affect any indemnification rights that any such party and his or her heirs and representatives may have under the certificate of incorporation or bylaws of Company or any contract or applicable law and shall be enforceable by all such parties.
