Initial Closing Period definition

Initial Closing Period means the twelve month period following the initial closing of Capital Commitments, provided that the Adviser, with the approval of the Board of Trustees, may extend such twelve month period up to two times for additional periods of up to one year per extension.
Initial Closing Period means the twelve month period following the initial closing of Capital Commitments.
Initial Closing Period has the meaning set forth in Section 1.07(e).

Examples of Initial Closing Period in a sentence

  • During each twelve (12)-month period commencing on the first day after the end of the Initial Closing Period (as defined in the Trust Agreement), the Initial Borrower will request that all Investors fund at least one (1) Demand Notice, unless such requirement is otherwise waived in writing by the Administrative Agent.

  • The Fund currently does not expect to draw any Capital Commitments from Subsequent Closings (“Subsequent Capital Commitments”) until 100% of the Capital Commitments from the Initial Closing Period (“Initial Capital Commitments”) have been drawn down, unless otherwise determined by the Board.

  • The “ Initial Drawdown Period” will begin when Initial Capital Commitments are made and continue until the earlier of (i) an Exchange Listing and (ii) the two year anniversary of the end of the Initial Closing Period.

  • Pre-Closing Period means any Tax period ending on or before the Closing Date.

  • Post-Closing Period means any taxable period or portion thereof beginning after the Closing Date. If a taxable period begins on or before the Closing Date and ends after the Closing Date, then the portion of the taxable period that begins on the day following the Closing Date shall constitute a Post-Closing Period.

  • Initial Closing shall have the meaning ascribed to such term in Section 2.1.

  • Initial Closing Price means the RI Closing Value of a Reference Item on the Strike Date

  • Initial Closing Date shall have the meaning assigned to such term in Section 1.2 hereof.

  • Second Closing Date means the date of the Second Closing.

  • Pre-Closing Taxable Period means any Taxable period ending on or prior to the Closing Date.

  • Series Closing Date means the date designated as such in the Series Term Sheet.

  • First Closing Date shall refer to the time and date of delivery of certificates for the Firm Shares and such Optional Shares). Any such time and date of delivery, if subsequent to the First Closing Date, is called an “Option Closing Date,” shall be determined by the Representatives and shall not be earlier than three or later than five full business days after delivery of such notice of exercise. If any Optional Shares are to be purchased, each Underwriter agrees, severally and not jointly, to purchase the number of Optional Shares (subject to such adjustments to eliminate fractional shares as the Representatives may determine) that bears the same proportion to the total number of Optional Shares to be purchased as the number of Firm Shares set forth on Schedule A opposite the name of such Underwriter bears to the total number of Firm Shares. The Representatives may cancel the option at any time prior to its expiration by giving written notice of such cancellation to the Company.

  • Put Closing Date shall have the meaning set forth in Section 2.3.8.

  • First Closing has the meaning set forth in Section 2.1(a).

  • Pre-Closing Straddle Period means the portion of a Straddle Period ending on the Closing Date.

  • Closing Period means the period between the close of business on the date of this Agreement and the Closing.

  • Third Closing shall have the meaning ascribed to such term in Section 2.1(c).

  • Anticipated Closing Date shall have the meaning set forth in Section 1.6(a).

  • Applicable Closing Date Has the meaning specified in Section 5.01(b) of this Trust Supplement.

  • Original Closing Date means the "Closing Date" as defined in the Existing Credit Agreement.

  • Additional Closing Date has the meaning set forth in Section 3.

  • Final Closing Date shall have the meaning specified in Section 7.2(a) hereof.
