Initial Global Notes definition

Initial Global Notes has the meaning given to such term in Section 2.01.

Initial Global Notes means the Regulation S Global Note and the Rule 144A Global Note.

Initial Global Notes has the meaning set forth in Section 1.03(c).

Examples of Initial Global Notes in a sentence

• Notes issued after the Issue Date shall be issued initially in the form of one or more Global Notes in registered form, substantially in the form set forth in Exhibit A, deposited with the Trustee, as custodian for the Depository, duly executed by the Issuers and authenticated by the Trustee as hereinafter provided and shall bear the Global Note Legend and any legends required by applicable law (together with the Initial Global Notes, the “Global Notes”) or as Physical Notes.

• The Notes will initially be represented by the Initial Global Notes.

• The Notes issued after the Issue Date shall be issued (a) initially in the form of one or more global Notes in registered form, substantially in the form set forth in Exhibit A, deposited with the Trustee, as custodian for the Depository, duly executed by the Company and authenticated by the Trustee as hereinafter provided and shall bear any legends required by applicable law (together with the Initial Global Notes, the “Global Notes”) or (b) as Physical Notes.

• Notes issued after the Issue Date shall be issued initially in the form of one or more global Notes in registered form, substantially in the form set forth in Exhibit A, deposited with the Trustee, as custodian for the Depository, duly executed by the Issuer and authenticated by the Trustee as hereinafter provided and shall bear the applicable legends set forth in Exhibit B and any legends required by applicable law (together with the Initial Global Notes, the “Global Notes”).

• The Initial Global Notes and any Additional Global Notes are collectively referred to herein as "GLOBAL NOTES." All Global Notes shall be initially issued in each case without interest coupons and with the Global Note Legend, shall be deposited on behalf of the purchasers of such Notes represented thereby with the Notes Custodian and registered in the name of the Depository or a nominee of the Depository, and duly executed by the Company and authenticated by the Trustee as provided in this Indenture.
