Initial Ownership means, with respect to any Shareholder and any class of Company Securities, the Aggregate Ownership of such class by such Shareholder as of the date hereof, or, in the case of any Person that shall become a party to this Agreement on a later date, as of such later date, in each case taking into account any stock split, stock dividend, reverse stock split or similar event.

Initial Ownership means the form of title established by section 62;

Initial Ownership means, with respect to a Shareholder at any time, the fraction, the numerator of which is the number of Common Shares beneficially owned (as such term is defined in Rule 13d-3 under the Exchange Act) by such Shareholder as of the Closing Date and the denominator of which is the number of Common Shares beneficially owned by the Shareholder and all Other Shareholders who are then Eligible Shareholders.

With respect to CPPIB, Initial Ownership shall give effect to and shall include any Common Shares purchased by CPPIB in the IPO, but shall not include any Common Shares purchased by CPPIB in open market transactions or otherwise following consummation of the IPO.

Initial Ownership means, with respect to each Executive as of the date of determination, the Common Stock (calculated on an as-converted basis) constituting and/or underlying the Executive Securities held by such holder as of the date such Executive became a party to this Agreement. For the avoidance of doubt, no right of any Executive that is determined by reference to Initial Ownership may be assigned or transferred.

Initial Ownership means 3,000,000 Common Shares (representing approximately one half of the aggregate Common Shares owned collectively by the undersigned immediately after the IPO Closing Date, taking into account the 10-for-1 share split of the Common Shares effected in connection with the IPO).
