Initial Test Date definition

Initial Test Date has the meaning set forth in Section 10.8.
Initial Test Date shall have the meaning provided in the definition of Applicable Margin contained herein.
Initial Test Date means October 1, 2024; provided however, if the Interim Milestone is achieved, “Initial Test Date” shall mean January 1, 2025; provided further however, if the Financial Milestone is achieved, “Initial Test Date” shall mean July 1, 2025; provided further however, if the Clinical Milestone is achieved, “Initial Test Date” shall mean September 1, 2025.

More Definitions of Initial Test Date

Initial Test Date means the last day of the second full Fiscal Quarter ending after the Opening Date.

For the avoidance of doubt, (i) the Initial Test Date shall not occur if the aggregate original principal amount of the Term Loan Advances made hereunder does not exceed $50,000,000 and (ii) foregoing clause (c) shall override foregoing clauses (a) and (b) in the case that more than one such clause shall be satisfied.
