Initial Yield definition

Initial Yield means, with respect to Incremental Term Loans or Incremental Revolving Commitments, the amount (as determined by the Administrative Agent) equal to the sum of (A) the margin above the Adjusted LIBO Rate on such Incremental Term Loans or such Incremental Revolving Commitment, as applicable (including as margin the effect of any “LIBOR floor” applicable on the date of the calculation), plus (B) (x) the amount of any Up-Front Fees on such Incremental Term Loans or such Incremental Revolving Commitments, as applicable (including any fee or discount received by the Lenders in connection with the initial extension thereof), divided by (y) the lesser of (1) the Weighted Average Life to Maturity of such Incremental Term Loans or such Incremental Revolving Commitments, as applicable, and (2) four.
Initial Yield means, with respect to any Incremental Commitment, the amount (as determined by the Administrative Agent) equal to the sum of (i) the margin above the Adjusted LIBO Rate on such Incremental Commitment (including as margin the effect of any floor applicable to the Adjusted LIBO Rate on the date of the calculation), plus (ii) (x) the amount of any Up-Front Fees on such Incremental Commitments (including any fee or discount received by the Lenders in connection with the initial extension thereof), divided by (y) the lesser of (1) the Weighted Average Life to Maturity of such Incremental Commitments, and (2) four.

Initial Yield means, with respect to any Indebtedness, the amount, as determined by the Administrative Agent, equal to the sum of (x) (i) in the case of Indebtedness subject to interest rates determined by reference to a LIBOR based rate, the one month Adjusted LIBO Rate (giving effect to any “floor” or minimum rate applicable to such Indebtedness) plus the margin above the Adjusted LIBO Rate applicable to such Indebtedness and (ii) in the case of Indebtedness not subject to interest rates determined by reference to a LIBOR based rate, the applicable per annum interest rate applicable to such Indebtedness, and (y) if any discount applies to such Indebtedness or the Lenders making the same receive a fee (other than any customary arrangement, structuring or commitment fees payable in connection therewith to, and retained by, the arrangers or underwriters thereof in their capacity as such) directly or indirectly from (or on behalf of) any Parent Guarantor, the Borrower or any of their respective Subsidiaries, the amount of such discount or fee, expressed as a percentage of the Indebtedness subject to such discount or fee, divided by the lesser of (x) four and (y) the Weighted Average Life to Maturity of such Indebtedness. Notwithstanding the foregoing, any “floor” or minimum rate shall only be taken into account in calculating the Initial Yield to the extent such “floor” or minimum rate exceeds the Adjusted LIBO Rate then in effect (without giving effect to clause (a) of the definition of “Adjusted LIBO Rate”).
Initial Yield means, with respect to any Indebtedness and as of any date of determination, the applicable interest rate of such Indebtedness, taking into account interest rate floors, original issue discount and upfront fees with respect to such Indebtedness (with original issue discount and fees being equated to interest rate based on a four-year life to maturity or lesser remaining average life to maturity), but excluding arrangement, commitment, structuring or underwriting fees paid to any Lead Arranger or their Affiliates (in each case in their capacities as such) or to one or more arrangers (or their affiliates) in their capacities as such in connection with any Incremental Term Loan and any amendment fees paid with respect to such Indebtedness to any Lead Arranger or their Affiliates (in each case in their capacities as such) or to one or more arranger (or their affiliates) in their capacities as such in connection with any Incremental Term Loan.
Initial Yield shall have the meaning set forth in Section 2.22.
