Intellectual Property Collateral Assignment Agreement definition

Intellectual Property Collateral Assignment Agreement means an Intellectual Property Collateral Assignment Agreement executed and delivered on or after the Closing Date by Borrower or a Guarantor of Payment, wherein Borrower or such Guarantor of Payment, as the case may be, has granted to Agent, for the benefit of the Lenders, a security interest in and a collateral assignment of all intellectual property owned by Borrower or such Guarantor of Payment, as the same may from time to time be amended, restated or otherwise modified.
Intellectual Property Collateral Assignment Agreement means each Intellectual Property Collateral Assignment Agreement, executed and delivered by TCC and each Domestic Guarantor of Payment in favor of Collateral Agent, for the benefit of Agent, Collateral Agent and the Lenders dated as of the Closing Date, and any other Intellectual Property Collateral Assignment Agreement executed on or after the Closing Date, as the same may from time to time be amended, restated or otherwise modified.
Intellectual Property Collateral Assignment Agreement means each Intellectual Property Collateral Assignment Agreement executed and delivered to Bank by the Borrower or a Guarantor of Payment, as applicable, on or after the Closing Date, as the same may from time to time be amended, restated or otherwise modified.

  • Any notice, demand, consent or request given or made to each Guarantor by any Lender shall be deemed to have been duly given or made if sent in writing (including telecommunications) to such Guarantor to the address or telex or telecopy number set forth below the name of such Guarantor on the signature page hereof, or at such other address or telex or telecopy number as such Guarantor may hereafter specify to the Lenders in writing.

  • Borrower shall have executed and delivered to Agent, for the benefit of the Lenders, an Intellectual Property Collateral Assignment Agreement, in form and substance reasonably satisfactory to Agent.

  • Trademark Assignment Agreement has the meaning set forth in Section 2.01.

  • Collateral Assignment Agreement has the meaning set forth in Section 9.05.

  • Intellectual Property (IP) means all copyright, rights in relation to inventions (including patent rights and unpatented technologies), plant varieties, registered and unregistered trademarks (including service marks), registered designs, confidential information (including trade secrets and know-how), mask-works and integrated circuit layouts, and all other rights resulting from intellectual activity in the industrial, scientific, literary or artistic fields;

  • Patent Assignment Agreement means the Patent Assignment Agreement attached hereto as Exhibit G.
