Intercompany Receivable Amount definition

Intercompany Receivable Amount means (a) all trade accounts receivable and other rights to payment of the Transferred Entities from their customers, including all trade accounts receivable representing amounts receivable in respect of goods shipped or products sold or services rendered; (b) all other accounts and notes receivable of the Transferred Entities; and (c) any claims, remedies and other rights related to any of the foregoing, in each case to the extent receivable from Seller or any of its Affiliates (other than the Transferred Entities). For the avoidance of doubt, Intercompany Receivable Amount shall include any right to payment of ISP Marl GmbH or Ashland Technologies GmbH arising or resulting from the German Organschaft involving ISP Marl Holdings GmbH, ISP Marl GmbH and/or Ashland Technologies GmbH, including termination thereof.
Intercompany Receivable Amount means (i) all trade accounts receivable and other rights to payment of the Transferred Companies from their customers, including all trade accounts receivable representing amounts receivable in respect of goods shipped or products sold or services rendered; (ii) all other accounts and notes receivable of the Transferred Companies; and (iii) any claims, remedies and other rights related to any of the foregoing; in each case to the extent receivable from Seller or any of its Affiliates (other than the Transferred Companies).
Intercompany Receivable Amount means the outstanding intercompany receivable that Kouti B.V. has from the Seller under the EUR 5,000,000 Intragroup Loan Facility Agreement dated 30 January 2024 between the Seller as borrower and Kouti B.V. as lender.

Intercompany Receivable Amount means the aggregate amount of the liabilities and obligations of Seller or any of its Affiliates (other than the Company and its Subsidiaries) owing to the Company and its Subsidiaries, resulting from advances of cash to or other arrangements involving the Company in the ordinary course.

  • Intercompany Note any promissory note evidencing loans made by any Grantor to Holdings or any of its Subsidiaries.

  • Unbilled Receivable means, at any time, any Receivable as to which the invoice or xxxx with respect thereto has not yet been sent to the Obligor thereof.
