Interest Shares definition

Interest Shares means the shares of Common Stock and the related Preferred Share Purchase Rights issuable in payment of interest on the Note.
Interest Shares means shares of Common Stock issuable in lieu of cash interest on the Notes.
Interest Shares has the meaning specified in Section 3.1(b).

  • The Company understands and acknowledges that the number of Conversion Shares, Interest Shares and Warrant Shares will increase in certain circumstances.

More Definitions of Interest Shares

Interest Shares means the shares of Common Stock to be received by the holders of the Debentures as interest in accordance with the terms of the Debentures and this Agreement.
Interest Shares. (as defined in the Debentures) without restrictive legend in the name of the Buyer (or its nominee) and in such denominations to be specified at conversion representing the number of shares of Common Stock issuable upon such conversion, as applicable. The Common Stock shall be immediately freely transferable on the books and records of Seller. Seller shall also instruct its attorney to issue and render any legal opinion which is required at any time by Seller's transfer agent to permit Seller's transfer agent to issue any and all Stock Certificates without a restrictive legend as required by this Agreement.
Interest Shares means, collectively, the shares of Common Stock issuable upon conversion of the accrued and unpaid interest amount under this Debenture, in accordance with the terms hereof.
Interest Shares shall have the meaning set forth in Section 2.03(c).
Interest Shares means any Conversion Shares issued or issuable, at the election of any Note holder, in lieu of interest accrued on any Note at the time of conversion.
Interest Shares is defined in Section 9.
Interest Shares means, for any Interest Date, that number of shares of Common Stock equal to the applicable amount of Interest to be paid in Interest Shares for such Interest Date divided by the Company Interest Conversion Price, rounded up to the nearest whole share of Common Stock.
