Investor Transaction Expenses definition

Investor Transaction Expenses means any reasonable and documented out-of-pocket third-party costs and expenses incurred by the Investor or its Affiliates in connection with the Transaction (including travel expenses and the fees and expenses of consultants, legal counsel, accountants and financial advisors in connection therewith).
Investor Transaction Expenses means (i) the costs, fees and expenses incurred by Investor and its Affiliates (including fees and expenses of legal, accounting and financial advisors and including the Debt Financing Fees and Expenses) in connection with the transactions contemplated hereby and (ii) the costs, fees and expenses incurred by Investor and its Affiliates resulting from the engagement of any consultants in connection with the Business that is consistent with the separation plan discussed between the parties; provided that the Investor Transaction Expenses described in clause (i) above and the CD&R Deal Fee shall be subject to an overall aggregate cap of $65,000,000.
Investor Transaction Expenses means the out-of-pocket fees and expenses reasonably incurred by the Investors in connection with the transactions contemplated hereby, including, but not limited to, fees and expenses of legal counsel and tax counsel and other expenses incurred in connection with the preparation of this Agreement.

  • From the date of this Agreement to the Closing Date, any newly incurred Investor Transaction Expenses shall become due and payable on the first day of each month.
