IRS Submission definition

IRS Submission means the Ruling Request and any other correspondence or supplemental materials submitted to the IRS in connection with obtaining the Rulings.

  • Each Company (or its representatives) shall provide the other Company (or its representatives) with copies of each Supplemental IRS Submission filed with the IRS promptly following the filing thereof.

  • CRC shall provide CSX and NSC with a reasonable opportunity to review and comment on each IRS Submission prior to the filing of such IRS Submission with the Service, and no IRS Submission shall be filed with the Service unless the party or parties requesting the Ruling have agreed in writing as to the contents of such IRS Submission prior to such filing.

  • If CRC seeks a Ruling at the request of either CSX or NSC or both of them, after consultation with the party or parties requesting the Ruling, CRC shall prepare the Ruling request and any supplements or materials relating thereto that are required to be submitted to the Service in connection with the Ruling request (each, an "IRS Submission").

  • Each IRS Submission shall be true and correct in all material respects, and all material facts relating to the requested Ruling shall be disclosed to the Service.

IRS Submission means the Ruling Request and any supplemental materials or requests submitted to the IRS relating to the Ruling Request, CoffeeCo Contribution, the Distribution, the Debt Exchange, the Merger, or the Separation, to the extent that (A) if filed by any member of the Xxxx Xxx Group, such supplemental material (i) includes statements or representations relating to facts that were, are or will be under the control of DutchCo, CoffeeCo or any of their Affiliates or (ii) is relevant to, or creates, any actual or potential obligations of, or limitations on, DutchCo, CoffeeCo or any of their Affiliates, and (B) if filed by any member of the CoffeeCo Group, such supplemental material (i) includes statements or representations relating to facts that were, are or will be under the control of Xxxx Xxx or any of its Affiliates or (ii) is relevant to, or creates, any actual or potential obligations of, or limitations on, Xxxx Xxx or any of its Affiliates.
IRS Submission means each of (i) a request submitted by Tribune to the IRS for (A) the IRS Ruling and (B) any other ruling in connection with the Contribution or the Distribution that Tribune deems to be appropriate and (ii) any supplemental materials submitted to the IRS relating thereto.

  • IRS means the United States Internal Revenue Service.

  • Planning Submission or “CAPS” or “Community Accountability Planning Submission” means the HSP Board approved planning document submitted by the HSP to the Funder. The form, content and scheduling of the Planning Submission will be identified by the Funder;

  • Selected submission means and refers to the submission sent to the City of Waco by the Selected Firm.

  • Supplemental Ruling means (i) any ruling (other than the Ruling) issued by the IRS in connection with a Distribution, and (ii) any similar ruling issued by any other Taxing Authority addressing the application of a provision of the laws of another jurisdiction to a Distribution.

  • CEC Certification and Verification means that the CEC has certified (or, with respect to periods before the Project has commenced commercial operation (as such term is defined by and according to the CEC), that the CEC has pre-certified) that the Project is an ERR for purposes of the California Renewables Portfolio Standard and that all Energy produced by the Project qualifies as generation from an ERR for purposes of the Project.
