JKBX Platform means the web-based platform located at xxxxx://xxx.xxxx.xxx, owned and operated by Jukebox Technology LLC, a Delaware limited liability company and wholly owned subsidiary of JKBX.

  • Except as otherwise provided herein, such notices shall be deemed given when personally delivered, mailed or sent by FedEx or other overnight delivery service with verifiable delivery tracking or by email or delivered via the JKBX Platform (when sent), all charges prepaid, except that notices of change of address shall be effective only after the actual receipt thereof.

  • Concurrent with the execution hereof and of the Royalty Share Agreement, the Purchaser authorizes the transfer of funds in an amount equal to the Subscription Price from the Purchaser’s user account established on the JKBX Platform to the Company’s bank account on the “JKBX Platform” at xxxxx://xxx.xxxx.xxx (or its successor platform) operated by Jukebox Technology LLC, a Delaware limited liability company, or its Affiliates (as defined below in Section 7).

  • Your Tax Documents are maintained on the JKBX Platform through at least October 15 of the applicable tax year, at a minimum, should you ever need to access them again.

  • By executing this Agreement on the JKBX Platform, you are consenting in the affirmative that we may send Tax Documents to you electronically, and acknowledging that you are able to access Tax Documents from the JKBX Platform website at xxxxx://xxx.xxxx.xxx.

  • Legal title to the JKBX Platform and all associated Intellectual Property is and shall remain the sole and exclusive property of Platform Provider or its licensors.

  • Platform Provider represents and warrants that, except as otherwise disclosed to the Company and Manager prior to execution of this Agreement, Platform Provider has the right to provide to the Company and Manager a non-exclusive right to access and use the JKBX Platform and access to the Intellectual Property.

  • As part of doing business with us, therefore, we also need you to consent to our giving you certain disclosures electronically, either via the JKBX Platform or to the email address you provide to us.

  • Any statements or representations made by the Company on the JKBX Platform pursuant to this Agreement shall be deemed to be made by the Company on its own behalf, and shall not be construed as statements or representations made by Platform Provider on behalf of the Company.

Related to JKBX Platform

  • Trading Platform means all programs and technology that present quotes in real-time, allow the placement/modification/deletion of orders and calculation of all mutual obligations of the Client and the Company.

  • Approved Electronic Platform has the meaning assigned to it in Section 8.03(a).

  • Platform has the meaning specified in Section 6.02.

  • Company Materials has the meaning specified in Section 6.02.

  • Borrower Materials has the meaning specified in Section 6.02.

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.
