(b) For the avoidance of doubt, and despite any agreement between the Developer and the Landowner, all of the obligations under this agreement that apply to the Developer or the Landowner, are jointly and severally binding on the Developer and the Landowner.

30.1.1 any agreement, covenant, representation or warranty under this Agreement by 2 or more persons binds them jointly and each of them individually, and
30.1.2 any benefit in favour of 2 or more persons is for the benefit of them jointly and each of them individually.
30.2 Where more than one person is bound by this Agreement as the Developer any right that is capable of being exercised by the Developer under this Agreement may only be exercised by those persons jointly and each person who is a Developer may, at its absolute discretion, decline to exercise such a right.
30.3 Clause 30.2 does not apply to a right that may be exercised by:
30.3.1 a Developer, or
30.3.2 two or more persons who are each a Developer (but not all persons who are a Developer) acting jointly,
30.4 The provisions of clause 30.2 and clause 30.3 have effect subject to:
30.4.1 any written agreement between the parties concerned (which may be in the form of a deed under clause 22.2.1), and 30.4.2 clause 19, clause 20 and clause 21. 30.5 Clauses 30.2, 30.3 and 30.4 do not limit in any way the operation of clause 30.1, and do not prevent the Council from taking action against any person who is a Developer under this Agreement in respect of any breach of this Agreement.
31.1 Nothing in this Agreement is to be construed as requiring Council to do anything that would cause it to be in breach of any of its obligations at law, and without limitation, nothing is to be construed as limiting or fettering in any way the exercise of any statutory discretion or duty.

(b) For the avoidance of doubt, and despite any agreement between G&J Xxxxxx and Telado, all of the obligations under this planning agreement that apply to the Developers, are jointly and severally binding on, and enforceable against G&J Xxxxxx and Telado as if each were the sole registered proprietor of the Land.

NON XXXXXX The Developer acknowledges and agrees that: in addition to its obligations under this Agreement the Council is also responsible for the conduct and administration of local government in the Waverley Local Government Area; this Agreement in no way affects Council's statutory obligations, functions or powers, including without limitation, its obligations, functions or powers in respect of the Development Application and Development Consent and any other approvals required in respect of the works to be carried out under the Development Consent; nothing which the Council does or fails to do under this Agreement will limit or otherwise affect the Developer’s obligations under the Development Consent; and nothing which the Council does, fails to do or purports to do in performing the Council’s statutory functions or powers will constitute or amount to a breach of this Agreement.
