The Common Stock and any other series or class of the Corporation’s stock that is both Junior Dividend Stock and Junior Liquidation Stock is referred to herein as “Junior Stock”.
The Series F Preferred Stock will have the priority as to dividends over the Common Stock and all other series or classes of the Company's stock hereafter issued which ranks junior as to dividends to the Series F Preferred Stock ("Junior Dividend Stock"), and no dividend may be made by the Company on any Junior Dividend Stock unless all accrued and unpaid dividends on Series F Preferred Stock for all periods and the current period have been paid or declared and set aside for payment.

No dividends or other distributions, other than dividends payable solely in shares of Junior Stock, shall be declared, paid or set apart for payment on shares of Junior Dividend Stock, unless and until all accrued and unpaid dividends on the Convertible Preferred Stock for all dividend payment periods ending on or before the payment date of such dividends or other distributions on Junior Dividend Stock shall have been paid or declared and set apart for payment.
