JV Employees are intended to have continuity of employment upon the Closing.
SRI acknowledges that as of Closing, the SRI JV Companies will continue to make employment available to the SRI JV Employees including participation in the respective SRI JV Employee Benefit Plans in which they are entitled to participate.
At its sole discretion, Purchaser may make offers of employment to Qualified JV Employees, provided no employment by Purchaser may be effective prior to August 1, 2015, or other date mutually agreed by the Parties.

Prior to March 31, 2016, AGH and ANT (or ANT’s Affiliate) will grant equity incentive awards pursuant to their respective equity incentive plans as on-hire grants to AGH Newly Recruited JV Employees, ANT Newly Recruited JV Employees and Joint Venture Newly Recruited Employees who have the responsibilities or perform the functions of senior members of the management of the Joint Venture (as determined by AGH, ANT (or ANT’s Affiliate) and the Joint Venture jointly).
Accordingly, Party A agrees that JV Employees will not be transferred to Party A or other Chinese enterprises without the approval of the Board and the President.
From and after the Closing Date, Purchaser may interview Qualified JV Employees during normal business hours, provided that all contact and communication shall be coordinated through Seller’s designated human resources personnel.
Following December 31, 2009, the Company shall be solely responsible for compensation and employee benefit plans for all JV Employees.
Thereafter, the wage levels of the JV Employees shall be determined in accordance with Article 14.5(b) and (g) of this Contract.
