TPG has the meaning set forth in the preamble.
Warburg Pincus CS", "CSAM", "Credit Suisse" or "Credit Suisse Warburg Pincus".
Carlyle means Carlyle Investment Management, LLC.
Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.
QP means a “qualified purchaser” within the meaning of Section 2(a)(51) of the Investment Company Act.
Blackstone means collectively, The Blackstone Group L.P., a Delaware limited partnership, and any Affiliate thereof (excluding any natural persons and any portfolio companies of any Blackstone-sponsored fund).
Parent Parties means Parent and Merger Sub.
Hosting Partners means companies who entered into an agreement with CIPC in the areas of application management; application hosting, application service provision, and marketplace hosting are incorporated in this category.
Person so Engaged means the person who is engaged by the Owner to co-ordinate and supervise the process of designing, planning, constructing, fitting out, completing and marketing the Development. 「如此聘用的人」指擁有人聘用以統籌和監管發展項目的設計﹑規劃﹑建造﹑裝置﹑完成及銷售的過程的人士。
Parent Entities means, collectively, Parent and all Parent Subsidiaries.
Oaktree means Oaktree Capital Management, LLC and its Affiliates, including any partnerships, separate accounts or other entities managed by Oaktree.
Midstream Assets means (i) assets used primarily for gathering, transmission, storage, processing or treatment of natural gas, natural gas liquids or other hydrocarbons or carbon dioxide and (ii) equity interests of any Person that has no substantial assets other than assets referred to in clause (i).
Ares means Ares Management LLC and its affiliated or managed funds and their respective Affiliates.
LGP means Xxxxxxx Xxxxx & Partners, L.P.
Warburg means Warburg, Xxxxxx Capital Partners, L.P., and/or any of its affiliates.
Apollo means Apollo Management, L.P., and its Affiliates.
Purchaser Related Parties has the meaning specified in Section 6.1.
Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;
Investor Parties has the meaning set forth in the Preamble.
GS shall have the meaning assigned to such term in the preamble to this Agreement.
GLJ means GLJ Petroleum Consultants Ltd.;
OTP means One Time Password
FP means Farm Programs.
Graham + Sibbald /"we"/"us"/"our" means Graham + Sibbald LLP, a limited liability partnership incorporated in Scotland (Registered Number SO307130) and having its registered office address at Seabraes House, 18 Greenmarket, Dundee, DD1 4QB.
PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.
MLP has the meaning given such term in the introduction to this Agreement.
