LABCHIP IMPROVEMENTS definition

LABCHIP IMPROVEMENTS means all inventions (whether or not patentable), discoveries, techniques, procedures, trade secrets and other technical information (and any Patents claiming the foregoing) that are conceived or first reduced to practice [*] and that specifically relate to Caliper's proprietary Screening Products that incorporate Caliper Technology (or to improvements to such Screening Products), including but not limited to the world-to-chip interface or chip-to-world interface, chip construction, composition or design, assay strategies or reagent conditions directed to chip-based microfluidic systems, electrical or other means of controlling fluids or molecules on a chip, or detection of results produced by chips. LabChip Improvements shall not include any inventions, discoveries, techniques, procedures, trade secrets, information or Patents that (a) are conceived or first reduced to practice after expiration or termination of the Term or (b) relate to Targets, Lilly compounds, Materials, Lilly Products, or technology unrelated to Screening Products. By way of example, such technologies include but are not limited to the world-to-chip interface or chip-to-world interface, chip construction, composition or design, on-chip assay strategies or reagent conditions, electrical or other means of controlling fluids or molecules on a chip, detection of results produced by chips, or software techniques for extracting or processing data from chips.
LABCHIP IMPROVEMENTS means all inventions (whether or not patentable), discoveries, techniques, procedures, trade secrets and other technical information (and any Patents claiming the foregoing) that (a) are conceived and reduced to practice by MPI or its Affiliates, solely or jointly with others, in connection with (i) the development of LabChip Assays for Screening under the sTAP during the Term or (ii) the development of NAP Systems under a NAP Plan during the Term, (b) [ * ], and (c) are owned or controlled by MPI or its Affiliates, or in which MPI or its Affiliates has an interest that it is not legally or contractually prohibited from assigning to Caliper. Related to LABCHIP IMPROVEMENTS

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Joint Improvements means (a) any and all Improvements to the Acceleron Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, solely by Celgene, its Affiliates, agents or by Third Parties acting on their behalf, while performing activities under this Agreement; and (b) any and all Improvements to the Acceleron Technology or Joint Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, jointly by Acceleron and Celgene, their respective Affiliates, agents or Sublicensees or by Third Parties acting on their behalf, while performing activities under this Agreement; provided, however, that Joint Improvements shall not include any Improvement that is a Celgene Improvement or Acceleron Improvement.

  • Project Improvements means site improvements and facilities that are:

  • Minimum Improvements means the acquisition of land and construction of a 152-unit market rate residential apartment building, construction of a stormwater pond and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:
