The Key Holder and the Company shall be permitted to supplement the Disclosure Schedule prior to the Closing Date subject to agreement to the form and substance of such supplemental disclosure by both Lead Purchasers.
The Lead Purchasers shall not take any action or omit to take any action in connection with the offering for sale and/or sale by the Lead Investor of any shares of Series A Preferred Stock if such action or omission would result in a requirement under the Securities Act to register the offer and/or sale of shares of Series A Preferred Stock by the Company.

The Parties agree that the Pro Forma Balance Sheet shall be prepared on the basis of the Asset List or the Updated Asset List (as the case may be) and in accordance with the IFRS and the Company shall consider reasonable comments of the Lead Purchasers when preparing the Pro Forma Balance Sheet.
