Letter of Credit Commitment Sublimit means $10,000,000.
Letter of Credit Commitment Sublimit means the combined Commitments of the Banks to participate in Letters of Credit issued pursuant to Section 2.1(d) and Section 2.7 in the aggregate stated amount of Twenty-Five Million Dollars ($25,000,000), as such amount may be reduced from time to time pursuant to this Agreement, which amount is a sublimit of, and not in addition to, the aggregate Commitments of the Banks.
Letter of Credit Commitment Sublimit means $10,000,000. "LETTER OF CREDIT PAYMENT" means all payments made by the Bank pursuant to either a draft or demand for payment under a Letter of Credit. "LETTER OF CREDIT REQUEST" has the meaning specified in SUBSECTION 2.12(b). "LIEN" means any security interest, mortgage, deed of trust, pledge, hypothecation, assignment, charge or deposit arrangement, encumbrance, lien (statutory or other) or preferential arrangement of any kind or nature whatsoever in respect of any property (including those created by, arising under or evidenced by any conditional sale or other title retention agreement, the interest of a lessor under a capital lease, any financing lease having substantially the same economic effect as any of the foregoing, or the filing of any financing statement naming the owner of the asset to which such lien relates as debtor, under the Uniform Commercial Code or any comparable law) and any contingent or other agreement to provide any of the foregoing, but not including the interest of a lessor under an operating lease. "LOAN" means an extension of credit by the Bank to a Borrower under ARTICLE II, and may be a Reference Rate Loan, an Offshore Rate Loan or a Quoted Rate Loan (each, a "TYPE" of Loan). "LOAN DOCUMENTS" means this Agreement, the Notes, the Guaranty and all other documents delivered to the Bank in connection herewith. "MARGIN STOCK" means "margin stock" as such term is defined in Regulation G, T, U or X of the FRB. "MATERIAL ADVERSE EFFECT" means, with respect to any Person, (a) a material adverse change in, or a material adverse effect upon, the operations, business, properties, condition (financial or otherwise) or prospects of such Person or such Person and its Subsidiaries taken as a whole; (b) a material impairment of the ability of any Borrower to perform under any Loan Document and to avoid any Event of Default; or
