Level 2 Status definition

Level 2 Status exists at any date if, at such date (i) the Index Debt is rated either BBB+ or higher by S&P or Baa1 or higher by Xxxxx’x and (ii) Level 1 Status does not exist.
Level 2 Status exists at any date if, at such date, (i) the Borrower Indenture Securities are rated BB+ or higher by S&P and Ba1 or higher by Moody's and (ii) Level 1 Status does not exist.
Level 2 Status means, on any date, the circumstance that Level 1 Status does not exist and the Consolidated Total Debt to Consolidated EBITDA Ratio is less than 4.50 to 1.00 as of such date.

Level 2 Status means that period of time during which the ratio of the FDC Group's Adjusted Funded Debt to Adjusted Pro Forma EBITDA, on a trailing twelve month basis, is equal to or greater than 2.00 to 1.00 and is less than or equal to 2.25 to 1.00.
