Level 5 definition

Level 5 means a project of greater than 2 MWac.
Level 5 means that either (a) S&P shall have assigned a rating lower than A- but at least BBB+ or (b) Moody's shall have assigned a rating lower than A3 but at least Baa1.
Level 5 means that, as of any date of determination, the criteria of none of Xxxxx 0, Xxxxx 0, Xxxxx 0 or Level 4 are satisfied.

Level 5 means that, as of any date of determination, the criteria of none of Xxxxx 0, Xxxxx 0, Xxxxx 0 or Level 4 are satisfied and the Long-Term Debt carries either of the following ratings:
