LICENSEE Inventory definition

LICENSEE Inventory means all components and works in process produced or held by LICENSEE with respect to the manufacture of Products.
LICENSEE Inventory means all components and works in process produced or held by LICENSEE with respect to the manufacture of Products; and
LICENSEE Inventory is defined in Section 12.4.5(c).

Examples of LICENSEE Inventory in a sentence

  • The Licensor shall deliver to the Licensee Inventory in accordance with the time and conditions stipulated in this Contract.

  • As promptly as practicable, and in any event no later than two (2) Business Days following the determination of the Final Inventory Consideration: (i) if the Final Inventory Consideration is greater than the Licensee Inventory Consideration, then Licensor shall pay to Licensee an amount equal to such excess, and (ii) if the Licensee Inventory Consideration is greater than the Final Inventory Consideration, then Licensee shall pay to Licensor an amount equal to such excess.

  • The “ Licensee Inventory Consideration” shall be the Licensee Inventory Value, plus one million three hundred fifty thousand dollars ($1,350,000), minus nine hundred and fifty thousand dollars ($950,000), minus a shrink adjustment of two hundred thousand dollars ($200,000).

  • If Licensor and Licensee are unable to resolve their differences within fifteen (15) Business Days after Licensee has received Licensor’s statement of objections hereunder, either Licensor or Licensee may immediately refer their remaining differences to the Independent Accountant, who shall determine, solely with respect to the remaining differences so submitted, the Licensee Inventory Consideration, including the actual aggregate Inventory Value as of the close of business on the Buy-Out Date.

  • The Licensee Inventory Consideration (as defined below) shall be paid by Licensor to Footstar, within five (5) Business Days of receipt by Licensor of the deliveries set forth in Section 4.4(b) above, by wire transfer of immediately available funds.

  • The fees and expenses of the Independent Accountant shall be borne by the party whose proposed calculation of Licensee Inventory Consideration differs most from the Licensee Inventory Consideration as determined by the Independent Accountant.

  • Except as otherwise provided herein, all rights and obligations of each Party hereunder will cease, including, subject to Section 12.5.1(b) (Licensee Inventory), the licenses granted to Licensee pursuant to Section 2.1 (License Grant), provided that ImmunoGen will remain entitled to receive payments that accrued before the effective date of such termination.

  • Licensor and Licensee shall instruct the Independent Accountant to deliver to Licensor and Licensee a written determination of the Licensee Inventory Consideration, including the actual aggregate Inventory Value as of the close of business on the Buy-Out Date, no later than the thirtieth (30th) calendar day after the referral to the Independent Accountant.

  • Product Inventory means all inventory owned as of the Closing by Seller or any Affiliate thereof of finished Product that is in conformance with the Specifications and has an expiration date of October 1, 2016 or later, regardless of whether such inventory is held at a location or facility of Seller or any Affiliate (or of any other Person on behalf of Seller or any Affiliate, including in any of Seller’s warehouses, manufacturers, suppliers, distributors or consignees) or in transit to or from Seller or any Affiliate (or any such other Person).

  • Obsolete Inventory means items that have expired, are redundant or

  • Consigned Inventory means Inventory of any Borrower that is in the possession of another Person on a consignment, sale or return, or other basis that does not constitute a final sale and acceptance of such Inventory.

  • Inventory is all “inventory” as defined in the Code in effect on the date hereof with such additions to such term as may hereafter be made, and includes without limitation all merchandise, raw materials, parts, supplies, packing and shipping materials, work in process and finished products, including without limitation such inventory as is temporarily out of Borrower’s custody or possession or in transit and including any returned goods and any documents of title representing any of the above.

  • Licensed Property means the portion of the Software and the Documentation to which Customer has purchased a License as identified on an applicable Order. Licensed Property shall include any updates or upgrades to the Licensed Property that AvePoint may at its discretion deliver to Customer.

  • Transferred Inventory has the meaning set forth in Section 2.2(a)(iii).

  • Licensed Site means a place in any authorised street at which street trading may be engaged in by a Licence Holder, and includes any temporary alternative place approved by the Council or a duly authorised Officer of the Council.

  • The Equipment/Product means all the Air conditioners along with the accessories which the Vendor is required to supply to the Bank under the Contract.

  • Licensed Nurse means an Oregon licensed practical or registered nurse.

  • Licensed producer means a person or entity licensed to produce medical cannabis.

  • Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, Product IP, and Licensor’s rights in the Program IP and Joint Patents.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Licensor means the copyright owner or entity authorized by the copyright owner that is granting the License.

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • CREFC® Intellectual Property Royalty License Fee With respect to each Mortgage Loan (including any REO Mortgage Loan) and for any Distribution Date, the amount accrued during the related Interest Accrual Period at the CREFC® Intellectual Property Royalty License Fee Rate on, in the case of the initial Distribution Date, the Cut-Off Date Balance of such Mortgage Loan and, in the case of any subsequent Distribution Date, the Stated Principal Balance of such Mortgage Loan as of the close of business on the Distribution Date in the related Interest Accrual Period; provided that such amounts shall be computed for the same period and on the same interest accrual basis respecting which any related interest payment due or deemed due on the related Mortgage Loan is computed and shall be prorated for partial periods. For the avoidance of doubt, the CREFC® Intellectual Property Royalty License Fee shall be payable from the Lower-Tier REMIC.

  • Product Patents means any Patent Controlled or owned by Quoin in the Territory that, absent the license in Section 2.1, would be infringed by the importation, sale, or use of the Product in the Territory by a third party.

  • Licensee has the meaning set forth in the preamble.

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Excluded Products means the items described on the applicable restricted products per country, any other applicable Program Policy, or any other information made available to you by LINIO.
