ListCo Shares definition

ListCo Shares means, prior to the adoption of the Post-Closing M&AA, the ListCo Ordinary Shares, and, upon the adoption of the Post-Closing M&AA, the ListCo Class A Ordinary Shares and the ListCo Class B Ordinary Shares.

ListCo Shares means the ordinary shares of Listco.

ListCo Shares means Class A Shares and Class B Shares in the capital of the Listco.

• Notwithstanding anything in this Agreement to the contrary, the ListCo Shares issued pursuant to Section 3.07(a), as applicable, shall be adjusted appropriately to reflect the effect of any share split, reverse share split, share dividend, reclassification, combination, exchange of shares, change or readjustment in change with respect to ListCo Shares such that the holders of Company Shares shall receive the same economic effect as contemplated by this Agreement prior to such action.

• The new ListCo Shares to be issued pursuant to the Proposed Debt Settlement shall upon allotment and issue, rank equally in all respects with each other and with the then existing ListCo Shares save and except that the holders of such new ListCo Shares shall not be entitled to any dividends, rights, allotments and/or other distributions which may be declared, made or paid to the shareholders of ListCo, the entitlement date of which is prior to the date of allotment of such new ListCo Shares.

• The Consolidated Financial Statements include the accounts of Cenovus and its subsidiaries and are presented in accordance with Canadian GAAP.

• The number of Shares that may be issued or used for reference purposes or with respect to which Awards may be granted under the Plan shall be subject to an annual increase on January 1 of each calendar year during the term of the Plan, equal to the lesser of (a) 0.5% of the aggregate number of ListCo Shares (as defined in the Business Combination Agreement) outstanding on the final day of the immediately preceding calendar year and (b) such smaller number of ListCo Shares as is determined by the Board.

• Except as disclosed in the SEC Reports, ListCo is not a party to any shareholders agreement, voting agreement or registration rights agreement relating to ListCo Shares or any other Equity Securities of ListCo.

More Definitions of ListCo Shares

ListCo Shares means the outstanding shares of ListCo from time to time.

ListCo Shares means, collectively, the Class A and Class B ordinary shares of the Buyer, par value US$0.50 per share.

"Maturity Date" means the day that is one year after the expiration of the Lock-up Period; provided that if such day is not a Trading Day, the Maturity Date shall be the next following Trading Day. "Notice of Exchange" has the meaning set forth in Section 3.1. "PRC" means the People's Republic of China. "SEHK" means The Stock Exchange of Hong Kong Limited. "Trading Day" means a day on which the SEHK is open for trading and is not closed for any reason prior to its normal closing time.
