The Administrative Agent shall have received a Borrowing Base Certificate duly executed and delivered by the Borrower Representative in accordance with Section 6.04(b) (it being understood that such certificate may be included directly in the applicable Loan Notice or Request for Letter of Credit).
In such event, the applicable Borrower shall be deemed to have requested a Borrowing of Base Rate Loans to be disbursed on the Honor Date in an amount equal to the Unreimbursed Amount, subject to the amount of the unutilized portion of the Availability and the conditions set forth in Section 3.02 hereof (other than the delivery of a Loan Notice).
Upon satisfaction of the applicable conditions set forth in Article 3 as determined by the Administrative Agent in its sole discretion, the Administrative Agent shall promptly deposit such proceeds in Same Day Funds in Dollars in the account specified in the applicable Loan Notice.
In the case of a Loan, the Administrative Agent shall have received a Loan Notice duly executed and delivered by the Borrower Representative in accordance with Section 2.01(b).
Each such Loan Notice must be received by the Administrative Agent not later than (x) in the case of a Term Rate Loan, 10:00 a.m. (New York City time) two (2) Business Days prior to the requested Funding Date and (y) in the case of a Base Rate Loan, 10:00 a.m. (New York City time) on the requested Funding Date, of such Loans (or such shorter period as may be agreed to by the Administrative Agent with the consent of each Lender).
