Luxembourg Treaty Lender a Lender which (i) is treated as a resident of a Luxembourg Treaty State for the purposes of the Luxembourg Treaty, (ii) does not carry on a business in Luxembourg through a permanent establishment with which that Lender's participation in the Loan or Letter of Credit is effectively connected and (iii) fulfils any other conditions which must be fulfilled under the relevant Luxembourg Treaty and the laws of Luxembourg to obtain exemption from taxation imposed by Luxembourg on interest.

Luxembourg Treaty Lender means a Lender which (a) is treated as a resident of a Luxembourg Treaty State for the purposes of a Luxembourg Treaty; (b) does not carry on a business in Luxembourg through a branch or agency with which the Lender’s participation in this Agreement is directly or indirectly connected; and (c) meets all other conditions in the Luxembourg Treaty for full exemption from a potential Luxembourg withholding tax on interest except that for this purpose it shall be assumed that any procedural formalities required by a Governmental Authority in order to permit the payment of interest to the Luxembourg Treaty Lender without the operation of any Luxembourg withholding tax are satisfied.
Luxembourg Treaty Lender means a Lender which in respect of a payment of interest: (i) is treated as resident of a Luxembourg Treaty State for the purposes of the Luxembourg Treaty, (ii) does not carry on business in Luxembourg through a permanent establishment with which that Lender’s participation in a Loan is effectively connected, (iii) is acting from a Lending Office situated in its jurisdiction of incorporation, and (iv) fulfils any other conditions which must be fulfilled under the Luxembourg Treaty by residents of the Luxembourg Treaty State for such residents to obtain exemption from Tax imposed on such payment of interest by Luxembourg, subject to the completion of any necessary procedural formalities.

  • Qualifying Bank means any entity, which effectively conducts banking activities as principal purpose with its own infrastructure and staff and which is recognized as a bank by the banking laws in force in the jurisdiction of its incorporation, or if such entity is acting through a branch in a jurisdiction other than the jurisdiction of its incorporation, in the jurisdiction where such branch is located or registered all in accordance with the Swiss Guidelines.
