Majority Bookrunners definition

Majority Bookrunners means, at any time, four or more Syndication Bookrunners the aggregate commitments and/or participations in respect of Facility A of whom (and/or of whose affiliates) at such time are not less than 40% of the aggregate commitments and/or participations of the Original Underwriters (which are Syndication Underwriters) in respect of Facility A at such time, provided that, for the purposes of this letter and subject to the proviso in the definition of “Syndication Bookrunners”, (a) BAML and/or its affiliates shall be deemed to constitute one Syndication Bookrunner, (b) CGMAL and/or its affiliates shall be deemed to constitute one Syndication Bookrunner, (c) CS and/or its affiliates shall be deemed to constitute one Syndication Bookrunner, (d) DBS and/or its affiliates shall be deemed to constitute one Syndication Bookrunner, (e) DB and/or its affiliates shall be deemed to constitute one Syndication Bookrunner, (f) ICBCI and/or its Affiliates shall be deemed to constitute one Syndication Bookrunner and (g) UBS HK and/or its affiliates shall be deemed to constitute one Syndication Bookrunner.
Majority Bookrunners means the Bookrunners who (together with their Affiliates) hold underwriting commitments:

  • Bookrunners means Arrangers, in their capacity as joint lead arrangers and joint bookrunners.

  • Joint Lead Arrangers and Bookrunners means Credit Suisse Securities (USA) LLC, Citigroup Global Markets, Inc., Deutsche Bank Securities Inc., Xxxxxxx Xxxxx Credit Partners L.P., HSBC Securities (USA) Inc., Xxxxxx Brothers Inc. and Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.

  • Joint Bookrunners means Xxxxxxx Xxxxx Bank USA, Barclays Bank PLC, Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., KKR Capital Markets LLC, Citigroup Global Markets Inc. and UBS Securities LLC.

  • Arrangers as defined in the preamble hereto.

  • Sole Bookrunner means Pareto Securities AB.

  • Lead Arrangers means X.X. Xxxxxx Securities LLC, Xxxxxxx Xxxxx Bank USA, Deutsche Bank Securities Inc., Barclays Bank PLC, Xxxxxx Xxxxxxx Senior Funding, Inc. and Credit Suisse Loan Funding LLC.

  • Bookrunner or “Agent” of any type shall have no right, power or duty under any Loan Documents other than those applicable to all Lenders, and shall in no event have any fiduciary duty to any Secured Party.

  • Syndication Agents as defined in the preamble hereto.

  • Lead Arranger as defined in the preamble hereto.

  • Co-Syndication Agents as defined in the preamble hereto.

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Joint Bookrunner means each of X.X. Xxxxxx Securities LLC, Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated or its Affiliate and Xxxxx Fargo Securities, LLC in their respective capacities as joint bookrunner, and their respective successors in such capacity.

  • Syndication Agent as defined in the preamble hereto.

  • Arranger means Banc of America Securities LLC, in its capacity as sole lead arranger and sole book manager.

  • Co-Syndication Agent as defined in the preamble hereto.

  • Joint Lead Arrangers shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • Joint Lead Arranger means each of Xxxxx Fargo Securities, LLC, X.X. Xxxxxx Securities LLC, PNC Capital Markets, LLC and RBS Securities Inc. and their respective successors, in their capacity as joint lead arrangers and joint bookrunners.

  • Sole Lead Arranger means SunTrust Xxxxxxxx Xxxxxxxx, Inc., in its capacity as sole lead arranger in connection with this Agreement.

  • Co-Arrangers has the meaning specified in the recital of parties to this Agreement.

  • Documentation Agents as defined in the preamble hereto.

  • Book Runner means the same as defined in the Public Offering Regulations, 2017;

  • Supermajority Banks means Banks having more than 75% of the sum of the Aggregate Commitments or, after the Revolving Credit Termination Date, more than 75% of the aggregate Revolving Loans outstanding (including funded participating interests in Swingline Loans).

  • Majority Banks means at any time Banks holding more than 50% of the Commitments, or if the Commitments have been terminated, Banks holding more than 50% of the then aggregate unpaid principal amount of the Advances.

  • Arranger Fee Letter means that certain Arranger Fee Letter related to this Agreement, entered into by the Company and dated November 23, 2015.

  • Managing Agents as defined in the preamble hereto.

  • Syndication means an extension of credit in which two or more persons fund and each person is at risk only up to a specified percentage of the total extension of credit or up to a specified dollar amount.
