Management and Guarantee Trust Agreement means the Peruvian law governed management and guarantee trust agreement dated as of March 30, 2016 (Segunda Modificación Integral al Contrato de Fideicomiso en Administración y Garantía), as amended on July 14, 2017 and on the date hereof, and as further amended from time to time, by HB Peru SAC, the Management and Guarantee Trustee, Xxxxxxxxx Xxxxxx xxx Río del Xxxxxx, acting as depositary, in favor of the Peruvian Intercreditor Agent, for the benefit of the Secured Parties.
