Manitowoc Foodservice Price definition

Manitowoc Foodservice Price means the Option Exercise Price multiplied by a fraction, (a) the numerator of which is the simple average of the volume-weighted average price of a share of Manitowoc Foodservice Common Stock solely on the New York Stock Exchange on a “when-issued” basis on each of the last ten (10) days of trading immediately prior to the effective time of the Distribution as reported by Bloomberg L.P. or any successor thereto and (b) the denominator of which is the sum of (i) the simple average of the volume-weighted average price of a share of Manitowoc ParentCo Common Stock solely on the New York Stock Exchange on the ex-Distribution market on each of the last ten (10) days of trading immediately prior to the effective time of the Distribution as reported by Bloomberg L.P. or any successor thereto plus (ii) the simple average of the volume-weighted average price of a share of Manitowoc Foodservice Common Stock solely on the New York Stock Exchange on a “when issued” basis on each of the last ten (10) days of trading immediately prior to the effective time of the Distribution as reported by Bloomberg L.P. or any successor thereto.

Manitowoc Foodservice Price means the Option Exercise Price multiplied by a fraction, (a) the numerator of which is the simple average of the volume-weighted average price of a share of Manitowoc Foodservice Common Stock solely on the New York Stock Exchange (on a “when-issued” basis to the extent applicable) on each of the first twenty (20) full trading sessions beginning with the first full trading session in which the Manitowoc Foodservice Common Stock began trading on a “when issued” basis as reported by Bloomberg L.P. or any successor thereto and (b) the denominator of which is the simple average of the volume-weighted average price of a share of Manitowoc ParentCo Common Stock solely on the New York Stock Exchange on each of the last twenty (20) full trading sessions immediately prior to the effective time of the Distribution as reported by Bloomberg L.P. or any successor thereto.

  • Retail Store – means any business facility that sells goods directly to the consumer whether for or not-for-profit, including, but not limited to, retail stores, restaurants, pharmacies, convenience and grocery stores, liquor stores, as well as seasonal and temporary businesses.

  • COP means the conference of the parties to the Convention;

  • Home service provider means the facilities-based carrier or reseller with which the customer contracts for the provision of mobile telecommunications services.

  • Sprint means a set period of time during which specific work is realized and made ready for review.

  • Retail tobacco store means a retail store utilized primarily for the sale of tobacco products and accessories and in which the sale of other products is merely incidental.

  • Sub-Service Provider means any person / firm / Organization / company /entity (other than the Service Provider) and it’s legal representatives, successors and permitted assigns named in the Contract as a Sub-Service Provider for a part of the Services or to whom a part of the Services has been sub-Contracted with the written prior consent of the Employer.

  • Ambulance service provider means Latrobe Health Services recognises the following providers for the purposes of paying benefits:

  • Wireless service provider means a person that provides wireless service to the public.

  • Eligible next Michigan business means that term as defined in section 3 of the Michigan economic growth authority act, 1995 PA 24, MCL 207.803.

  • COLA means a percentage-based general wage increase adjustment provided in accordance with this Memorandum of Agreement. COLA is an upward adjustment applied to and folded into all wage rates. The "annualized average of BC CPI over twelve months” (AABC CPI) means the Latest 12-month Average Index % Change reported by BC Stats in March for British Columbia for the twelve months starting at the beginning of March in the preceding year and concluding at the end of the following February. The “Latest 12-month Average Index”, as defined by BC Stats, is a 12-month moving average of the BC consumer price indexes of the most recent 12 months. This figure is calculated by averaging index levels over the applicable 12 months. The Latest 12-month Average Index % Change is reported publicly by BC Stats in the monthly BC Stats Consumer Price Index Highlights report. The BC Stats Consumer Price Index Highlights report released in mid-March will contain the applicable figure for the 12-months concluding at the end of February. The percentage change reported by BC Stats that will form the basis for determining any COLA increase is calculated to one decimal point. For reference purposes only, the annualized average of BC CPI over twelve months from March 1, 2021 to February 28, 2022 was 3.4%.

  • Participating Retail Store means any one of the Australian retail stores trading under the following trading names that is authorised by Breville to sell Participating Products and has been invited by the Promoter to participate in the Promotion:

  • Individualized family service plan means a written plan for providing early intervention services to an eligible child and the child’s family.

  • Distribution Services means the service of distribution, as defined in section 5 of the Act;

  • Xxxxxxx Group means (a) any member of the Xxxxxxx Family and (b) any Related Person of any such member.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.
