Material Carriers definition

Material Carriers means, as of any date of determination, all Carriers for whom Borrower's volume of telecommunications traffic (measured in minutes) through such Carrier for the immediately preceding month exceeds 10% of the aggregate amount of Borrower's volume of telecommunications traffic (measured in minutes) through Carriers for such period; provided, however, that for purposes of this definition, telecommunications traffic shall not include any tariffed LEC accessed origination or termination minutes.
Material Carriers has the meaning specified in Section 5.24(c).
Material Carriers means the Carriers identified on Schedule M-1.

Examples of Material Carriers in a sentence

  • The Material Carriers collectively account for not less than 85% of the aggregate amount of the Borrowers' volume of telecommunications traffic through Carriers.

  • To the Knowledge of the Company, (A) all such Material Brokers will continue purchasing, without significant reductions, products and services from the Company and (B) all such Material Carriers will continue to sell the products and provide the services to the Company currently sold and provided by them, subject to economic changes adversely affecting such Material Broker or Material Carrier.

Related to Material Carriers

  • Material IP means any Intellectual Property that is material to the conduct of the business of the Borrower and its Restricted Subsidiaries, taken as a whole.
