Material Patents definition

Material Patents has the meaning set forth in Section 3.11(c).
Material Patents is defined in Section 5.11(c).
Material Patents. Material Copyrights” and “Material Trademarks” mean all Patents, Copyrights and Trademarks, respectively, that meet the criteria described above.

More Definitions of Material Patents

Material Patents means filed, pending and issued Patents Controlled by the Company or its Affiliates that (i) disclose or claim inventions that are, or are related to, the composition of matter, method of use or method of manufacture of the Product, and (ii) are reasonably necessary to make, have made, use, import, export, Develop, manufacture, and/or Commercialize the Product.

Each MNPI Notice Period will commence on the Business Day immediately following Purchaser Agent’s written notice to the Obligors of such MNPI Notice Period (or any later date specified by Purchaser Agent in such notice), and will end immediately upon written notice from Purchaser Agent to the Obligors that such MNPI Notice Period is terminated.
Material Patents means all Patents of a Borrower having a material value or otherwise necessary for, or material to, the operation of the business of such Borrower as presently conducted, as determined by such Borrower in good faith after due inquiry. The Material Patent and Trademark Listing contains a list of all of the Borrowers’ Material Patents as of the Closing Date.
Material Patents means registered Patents that are owned by or licensed to an Obligor and material to the conduct of any Obligor’s business (as determined by such Obligor in the exercise of its commercially reasonable business judgment).
