Material Copyrights definition

Material Copyrights and “Material Trademarks” mean all Patents, Copyrights and Trademarks, respectively, that meet the criteria described above.
Material Copyrights all Copyrights constituting Material Intellectual Property.
Material Copyrights means, with respect to each Pledgor, all Material Existing Copyrights and Material New Copyrights of such Pledgor.

  • Subject to Section 6(b) of the Security Agreement, set forth on Schedule 6.01(u) is a complete and accurate list as of the Closing Date of each item of Registered Intellectual Property (except with respect to copyrights, which shall be limited to the Material Copyrights (as defined in the Security Agreement)) owned by each Loan Party.

  • Impax, on behalf of itself and its Affiliates, shall grant to AstraZeneca a non-exclusive license to use all Marketing Material Copyrights, excluding any Corporate Names belonging to Impax, applicable to the Existing Products and Selected Additional Products, which Marketing Material Copyrights are then owned or Controlled by Impax or any of its Affiliates.

  • In the case of such registrations or applications therefor (except for Copyrights, only Material Copyrights), which were acquired by any Grantor, each such Grantor shall file the necessary documents with the appropriate Governmental Authority identifying the applicable Grantor as the owner (or as a co-owner thereof, if such is the case) of such Intellectual Property.

  • For the avoidance of doubt and notwithstanding anything to the contrary in this Agreement or any other Loan Document, Pledgors shall have no obligation to make any filing with the United States Copyright Office for the purpose of perfecting, confirming, continuing, enforcing or protecting the Security Interest granted by each Pledgor in such Pledgor’s Copyrights, other than with respect to the Material Copyrights.

  • In the case of such Material Copyright registrations or applications therefor which were acquired by any Grantor, each such Grantor shall promptly (but in no event later than three (3) Business Days following such acquisition) file the necessary documents with the appropriate Governmental Authority identifying the applicable Grantor as the owner (or as a co-owner thereof, if such is the case) of such Material Copyrights.


More Definitions of Material Copyrights

Material Copyrights has the meaning specified therefor in Section 5(d)(iv).
Material Copyrights means any Copyright owned by an Obligor which, as of any date of determination, has generated not less than $50,000 in gross revenues during the last two complete fiscal years ending prior to the Closing Date, or any subsequent two consecutive fiscal years, commencing with the fiscal year ending December 31, 2000, whether from the lease, licensing or other disposition of such Copyright or any Inventory which utilizes such Copyright in any way, including operation, manufacture or display.
Material Copyrights means, with respect to any Grantor, any Copyrights or Copyright Licenses of such Grantor that (i) generate or are reasonably anticipated to generate annual revenue in excess of $500,000 or (ii) are otherwise material to the conduct of the business or operations of such Grantor.
Material Copyrights shall have the meaning provided in Section 5.1 of this Agreement.
Material Copyrights means, any Copyrights hereafter acquired by the Grantor, necessary to the operation of the business of the Grantor or any other Loan Party.
Material Copyrights means registered Copyrights that are owned by or licensed to an Obligor and material to the conduct of any Obligor’s business (as determined by such Obligor in the exercise of its commercially reasonable business judgment).
Material Copyrights means all Copyrights of a Borrower having a material value or otherwise necessary for, or material to, the operation of the business of such Borrower as presently conducted, as determined by such Borrower in good faith after due inquiry. The Material Patent and Trademark Listing contains a list of all of the Borrowers’ Material Copyrights as of the Closing Date.
