Material Recordable Intellectual Property definition

Material Recordable Intellectual Property has the meaning specified in Section 2.08(f).
Material Recordable Intellectual Property means (a) any Patent registered with the United States Patent and Trademark Office, and any Patent license with respect to a Patent so registered, (b) any Trademark registered with the United States Patent and Trademark Office, and any Trademark license with respect to a Trademark so registered or (c) any Copyright registered with the United States Copyright Office and any Copyright license with respect to a Copyright so registered, and all rights in or under any of the foregoing.
Material Recordable Intellectual Property means, at any time, the Recordable Intellectual Property that is Material Intellectual Property.

  • If requested by Secured Party, in each case, Debtor will promptly following such delivery make filings necessary to record the Transaction Lien on such Material Recordable Intellectual Property with the applicable Governmental Entities.

  • Within thirty (30) days after each March 31 and September 30 thereafter, it will sign and deliver to Secured Party an appropriate Intellectual Property security agreement covering any Material Recordable Intellectual Property owned by or licensed to Debtor that is not covered by any previous Intellectual Property security agreement so signed and delivered by it.

More Definitions of Material Recordable Intellectual Property

Material Recordable Intellectual Property means (a) the Recordable Intellectual Property listed on Schedule 3 hereto, (b) the Recordable Intellectual Property identified in Intellectual Property Security Agreements delivered in accordance with the second sentence of subsection 8(a) and (c) any other Recordable Intellectual Property with a fair market value of more than $1,000,000 as reasonably determined by either the Company or, after consultation with the Company, the Collateral Agent.
Material Recordable Intellectual Property means the Recordable Intellectual Property notified in writing from time to time to the Collateral Agent by any Lien Grantor in accordance with the provisions hereof.

  • Seller Intellectual Property means any Intellectual Property that is owned by either Seller and primarily used in connection with the Business.

  • Transferred Intellectual Property means (i) all Intellectual Property Rights owned by the Acquired Companies, (ii) the Transferred Trademarks, (iii) the Transferred Patents, (iv) the Transferred Domains, and (v) all other Intellectual Property Rights owned by Sellers or their respective Affiliates as of the Closing Date that are exclusively used in or are exclusively related to the development, manufacture, marketing, use or sale of the Business Products.

  • Assigned Intellectual Property has the meaning set forth in Section 2.1 (Assigned Intellectual Property).

  • Material Intellectual Property means Intellectual Property owned by or licensed to a Grantor and material to the conduct of any Grantor’s business.

  • Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.

  • Scheduled Intellectual Property has the meaning set forth in Section 3.12(a).

  • Excluded Intellectual Property means any Intellectual Property (including Software, but excluding Trademarks), owned by Seller and its Affiliates as of the date hereof that is not Acquired IP.

  • Business Intellectual Property means the Licensed Intellectual Property and the Owned Intellectual Property.
