Matured Shares definition

Matured Shares means Shares that a Participant has acquired through the vesting of Restricted Stock Units or the purchase of shares which, at the relevant date, the Participant has held for a minimum of six months and one day (or such greater or lesser period as the Committee may determine from time to time).
Matured Shares means Shares that had been held by the Optionee for a meaningful period of time such as six months or such other period of time that is consistent with FASB's interpretation of APB 25.
Matured Shares means, with respect to any Participant, Common Stock owned by such Participant for longer than six months.

  • The Seller shall transfer to the Escrow Agent for the benefit of the Counterparty the Matured Shares less the Maturity Shares and the Penalty Shares.

Related to Matured Shares

  • Mature Shares means Shares for which the holder thereof has good title, free and clear of all liens and encumbrances, and which such holder either (i) has held for at least six months or (ii) has purchased on the open market.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • DWAC Shares means shares of Common Stock that are (i) issued in electronic form, (ii) freely tradable and transferable and without restriction on resale and (iii) timely credited by the Company to the Investor’s or its designee’s specified DWAC account with DTC under the DTC/FAST Program, or any similar program hereafter adopted by DTC performing substantially the same function.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Relevant Shares means ordinary share capital of the Approved Entity that constitutes equity share capital or the equivalent (or depositary or other receipts representing the same) which is listed and admitted to trading on a Regulated Market.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Dividend Shares means any shares of Common Stock issuable in lieu of cash dividends paid or to be paid on the Series A Preferred.

  • A Ordinary Shares means the ‘A’ ordinary shares of £1.00 each in the capital of the Company;

  • Class C Shares means shares of the Class C Common Stock.

  • Common Shares means the common shares in the capital of the Corporation;

  • New Ordinary Shares means the new Ordinary Shares arising on Conversion of the C Shares;

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Escrowed Shares has the meaning set forth in Section 2.4.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Issued Shares means, collectively, all outstanding Shares issued pursuant to Restricted Stock Awards, all outstanding Shares issued pursuant to Unrestricted Stock Awards, and all Option Shares.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.
