Maximum Ownership Percentage definition

Maximum Ownership Percentage has the meaning set forth in Section 4.3 hereof.
Maximum Ownership Percentage means, calculated at a particular point in time, a Total Ownership Percentage of 49.0%; provided that in the event of a Permitted Acquisition which results in the Shareholder Group’s Total Ownership Percentage exceeding 49.0%, so long as the Shareholder Group’s Total Ownership Percentage exceeds 49.0% due to such Permitted Acquisition, the Maximum Ownership Percentage shall become the Shareholder Group’s Total Ownership Percentage giving effect to such Permitted Acquisition.
