Maximum Shares definition

Maximum Shares means, with respect to an Award Opportunity granted to a Participant for a Performance Period, the notional number of Shares equal to 200% of the Participant's Target Shares for such Performance Period. Each Maximum Share shall represent the contingent right to receive one share of Common Stock and shall at all times be equal in value to one share of Common Stock. The number of Maximum Shares granted pursuant to each outstanding Award Opportunity is subject to adjustment in accordance with the terms of the Performance Bonus Plan.
Maximum Shares means the maximum number of shares of Common Stock that could be awarded to the Participant under this Agreement.
Maximum Shares shall have the meaning set forth in Section 3.2(c).

Examples of Maximum Shares in a sentence

  • Options granted prior to shareholder approval of the Plan or in excess of the Maximum Shares previously approved by the shareholders shall become exercisable no earlier than the date of shareholder approval of the Plan or such increase in the Maximum Shares, as the case may be.

  • Options granted prior to stockholder approval of the Plan or in excess of the Maximum Shares previously approved by the stockholders shall become exercisable no earlier than the date of stockholder approval of the Plan or such increase in the Maximum Shares, as the case may be.

  • Such number of Forward Purchase Shares shall be determined by the Company, in its sole discretion, based on, but not limited to, the Cash Requirements and the Available Cash; provided, however, that such number shall in no event exceed the Maximum Shares.

Maximum Shares. As set forth in the Trade Notification, to be a number of Shares equal to (a) the Prepayment Amount divided by (b) [ ]% of the Hedge Period Reference Price.
