Media Stock definition

Media Stock means the U S WEST Media Group Common Stock, par value $.01 per share, of U S WEST.
Media Stock means the class of U S WEST Media Group Common Stock, par value $.01 per share, of the Corporation or any other class of stock resulting from (x) successive changes or reclassifications of such stock consisting solely of changes in par value, or from par value to no par value or (y) a subdivision or combination, and in any such case including any shares thereof authorized after the date of the Certificate, together with any associated rights to purchase other securities of the Corporation which are at the time represented by the certificates representing such shares.
Media Stock means the class of U S WEST Media Group Common Stock, par value $.01 per share, of the Corporation or any other class of stock resulting from (a) successive changes or reclassifications of such stock consisting solely of changes in par value, or from par value to no par value or (b) a subdivision or combination, and in any such case including any shares thereof authorized after the date of the Certificate, together with any associated rights to purchase other securities of the Corporation which are at the time represented by the certificates representing such shares.

  • HSWLLC is not a party to or bound by any agreement affecting or relating to its right to transfer or vote its shares of the Remark Media Stock.

  • HSWLLC owns, of record and beneficially, good and valid title to the Remark Media Stock, and such shares of Remark Media Stock are free and clear of any Liens (other than restrictions on transfer imposed by applicable Law).

  • The Remark Media Stock is being acquired for Purchaser’s own account, not as a nominee or agent and not with a view to the direct or indirect sale or distribution of any part thereof.

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.
