Member Material definition

Member Material means any material provided by the Member to the Contractor for the purposes of this Agreement including documents, equipment, information and data stored by any means.

  • Each SAE Entity Member Subsidiary, to the extent required under applicable Laws, is qualified to do business and is in good standing in each jurisdiction in which the nature of its business or the character of its Property make such qualification necessary, other than such failures to be so qualified as would not, individually or in the aggregate, reasonably be expected to have a SAE Entity Member Material Adverse Effect.

  • The Majority Member is duly qualified to do business in all jurisdictions in which the nature of the business 1440241.11A-WASSR01A - MSW conducted by it makes such qualification necessary, except where the failure to be so duly qualified, individually or in the aggregate, would not have a Majority Member Material Adverse Effect.

  • If you revoke this Consent, Curves may still use and disclose the Member Material for the purposes listed above, if Curves has already taken action in reliance on this Consent.

  • The execution and delivery of this Agreement by such TF Member do not, and the performance by such TF Member of this Agreement shall not, require any Governmental Approvals, except where the failure to obtain such Governmental Approvals would not result in a TF Material Adverse Effect or a TF Member Material Adverse Effect.

  • Except as would not, individually or in the aggregate, have a Majority Member Material Adverse Effect, the Majority Member has been duly organized and is validly existing and in good standing under the laws of the jurisdiction of its incorporation or organization.

  • There are no (a) Actions pending or, to the New Member’s Knowledge, threatened, against the New Member and (b) no outstanding Order to which the New Member is a party or by which it is bound, in each case, as would have, individually or in the aggregate, a New Member Material Adverse Effect.

  • Curves may continue to use and disclose Member Material for the purposes listed above, indefinitely with no need to execute a new consent agreement with Member/Talent.

  • There is no suit, action, claim, arbitration, proceeding or investigation pending or, to the knowledge of such TF Member, threatened against, relating to or involving such TF Member before any Governmental Entity that, if finally determined adversely to such TF Member, is reasonably likely, individually or in the aggregate, to result in a TF Material Adverse Effect or a TF Member Material Adverse Effect.

  • Such TF Member is not subject to any judgment, decree, injunction, rule or order of any court or arbitration panel that is reasonably likely to result in a TF Material Adverse Effect or a TF Member Material Adverse Effect.

  • There is no judgment, decree, injunction, rule or order of a Governmental Authority outstanding against YIP, any SAE Entity Member, any YIP Subsidiary, any SAE Entity Member Subsidiary or any officer, director, principal, managing member, general partner or Affiliate of any of the foregoing having, or which, insofar as reasonably can be foreseen, in the future would have a YIP Material Adverse Effect or a SAE Entity Member Material Adverse Effect, as applicable.
